WPG PARTNERS OPPORTUNISTIC VALUE FUND SEC REVIEW 2026

INDEPENDENT VERDICT

WPG Partners Opportunistic Value Fund, L.P. is not a newly created private fund. Its latest SEC Form D/A, filed September 18, 2026, reports a first sale dating all the way back to December 31, 1999, making this one of the longest-running private investment vehicles in the current FilingDossier batch. The Delaware limited partnership files under CIK 0001107541, operates from One Beacon Street, 30th Floor, Boston, Massachusetts, and currently reports an indefinite Rule 506(b) offering with $86,729,500 cumulatively sold to 113 investors. The fund is classified as both a pooled investment fund and hedge fund, relies on Section 3(c)(1) of the Investment Company Act, and reports no fixed Form D minimum investment. Its 2026 filing explicitly identifies WPG Opportunistic Value Manager Fund, L.L.C. as General Partner and Boston Partners Global Investors, Inc. as sole member of that General Partner, promoter and investment manager doing business as both Boston Partners and WPG Partners. That legal chain is unusually clear and means the fund can be tied directly to the much larger Boston Partners investment platform rather than inferred from a marketing-name similarity.

The naming history adds an important second layer of verification. SEC records preserve multiple previous names, including WPG Opportunistic Value Fund LP, Robeco WPG Opportunistic Value Fund LP and Robeco WPG Opportunistic Value Fund, L.P. Earlier filings from 2010 show the fund operating from 909 Third Avenue in New York with Robeco Investment Management, Inc. identified in the management chain, while the current structure has migrated to Boston Partners at One Beacon Street. This continuity matters because a researcher looking only for the current "WPG Partners" name would miss a substantial portion of the fund's regulatory history. In August 2010, the Robeco WPG version reported $65,974,651 sold to 82 investors; the September 2023 amendment reported $84,219,266 sold to 109 investors; and the September 2026 amendment now reports $86,729,500 sold to 113 investors. These figures show a remarkably persistent offering across more than two decades, but they should not be added together. Each amendment updates a continuing cumulative offering, so the latest $86.73 million figure is the relevant current cumulative Form D sales disclosure, not $65.97 million plus $84.22 million plus $86.73 million.

The manager context is much larger than the fund itself. Boston Partners states that, as of June 30, 2026, it manages approximately $149.6 billion across U.S. equity, global and non-U.S. equity, and long/short equity strategies, including approximately $2.4 billion specifically in long/short equity. The firm says it was founded in 1995 and applies one core investment philosophy across strategies: attractive valuation, strong business fundamentals and positive business momentum. WPG Partners operates as a specialist division within that broader platform. Its current public lineup focuses on smaller-company strategies and reports approximately $820 million in Small Cap Diversified, $379 million in Micro Cap Opportunities and $2.2 billion in Select Small Cap Value as of June 30, 2026. WPG also states that its investment process combines quantitative screening, industry contacts and intensive fundamental research, including more than 700 company meetings annually. Those strategy-level AUM numbers help verify WPG's operating depth, but they should not be treated as assets of the Opportunistic Value Fund.

The fund's most interesting feature is therefore its age and legal continuity rather than a headline capital raise. A 1999 first-sale date means investors are looking at a vehicle that has persisted through the dot-com collapse, the global financial crisis, the European debt crisis, the COVID shock, the 2022 rate-reset environment and multiple ownership and branding changes at the manager level. That history materially reduces basic identity risk, but it also raises investment questions that Form D cannot answer. Public filings do not disclose the current portfolio, gross or net exposure, small-cap concentration, short exposure, turnover, leverage, liquidity profile, annualized return, maximum drawdown, management fee, incentive allocation, high-water mark or redemption schedule. The current Boston Partners website explains WPG's public small-cap and long/short capabilities, but it does not publish enough fund-specific information to prove that the private Opportunistic Value Fund exactly mirrors any one current public strategy. Investors should therefore use the public WPG strategy framework as manager context, not as a substitute for the fund's current PPM and audited statements.

The final diligence question is performance and portfolio construction rather than whether the fund exists. The SEC history strongly verifies the legal vehicle, the 1999 inception, the succession from Robeco WPG to Boston Partners, the current General Partner, the investment manager and the long-running investor base. The approximately $86.73 million sold figure also establishes meaningful historical subscription activity, although it does not establish present NAV because investors may have redeemed and portfolio values may have changed substantially over more than 26 years. For a value-oriented hedge fund, investors should focus on gross long and short exposure, factor concentrations, small-cap liquidity, borrow costs, crowding, short squeezes, portfolio turnover, current holdings, realized versus unrealized gains, historical drawdowns and fees. A highly established manager and a decades-old filing history materially strengthen institutional verification, but they do not eliminate strategy risk or establish that current investors are earning attractive returns.

IMPORTANT FORM D NOTICE

Form D is a notice of an exempt securities offering.

It does not mean that the SEC has approved WPG Partners Opportunistic Value Fund, Boston Partners, WPG Partners, the portfolio manager, the valuation process or the fund's investment strategy.

The September 18, 2026 amendment reports $86,729,500 cumulatively sold to 113 investors since an offering whose first sale dates to December 31, 1999.

That is strong evidence of a long-running private fund.

It is not evidence that $86.73 million remains invested today.

It is not current NAV.

It is not a performance figure.

INDEPENDENT ASSESSMENT

WPG Partners Opportunistic Value Fund has one of the strongest continuity profiles in this group.

The SEC trail reaches back to a December 1999 first sale.

The same CIK preserves the transition from WPG Opportunistic Value Fund to Robeco WPG and finally WPG Partners.

The latest filing then provides a direct legal chain from the fund to WPG Opportunistic Value Manager Fund and from that General Partner to Boston Partners Global Investors.

That materially reduces uncertainty about the manager and operating platform.

The historical capital record is also unusually useful.

Cumulative Form D sales moved from approximately $65.97 million and 82 investors in 2010 to $84.22 million and 109 investors in 2023 and finally $86.73 million and 113 investors in 2026.

This shows continued subscriptions and a persistent investor base over many years.

It does not reveal the present value of the portfolio because subscriptions, redemptions, gains and losses all occur outside Form D's cumulative sales figure.

The principal remaining information gap is investment performance.

Boston Partners provides extensive public information about its value philosophy and WPG's small-cap research process, but the private Opportunistic Value Fund's current portfolio, exposure, leverage, liquidity, fee structure and audited return history are not disclosed in the latest Form D.

Those are the variables that should determine investment analysis now.

The fund's existence is well established.

Its management chain is well established.

Its multi-decade regulatory continuity is well established.

The investment case still depends on current performance, portfolio risk, liquidity and fees.

SEC Form D verifies the offering.

It does not certify the investment outcome.
