The September 15, 2026 Form D/A reports $227,011,779 sold to 10 investors, an indefinite Rule 506(b) offering, Section 3(c)(7), a $500,000 minimum and a first sale dating back to August 1, 2009. The same vehicle reported only $60,864,588 sold in March 2025, so reported cumulative securities sales increased by approximately $166.15 million over roughly eighteen months. SEQUENCE MULTI ASSET SHOWS HOW THE INSURANCE-DISTRIBUTION LAYER INTERACTS WITH INVESTMENT MANAGEMENT
The 2026 Form D names three separate sales-compensation channels: M Holdings Securities, Inc., CRD 43285; Corebridge Financial through VALIC Financial Advisors, CRD 42803; and Stern Capital LLC, CRD 131226. THE INSURANCE-Dedicated FUND STRUCTURE EXPLAINS WHY THE SERIES EXISTS AT ALL
SALI describes an IDF as a commingled investment vehicle that accepts allocations from separate accounts of life-insurance companies linked to Private Placement Variable Annuity and Private Placement Life Insurance contracts. The purpose is not simply product branding. The insurance wrapper can alter the tax treatment of underlying investment income and create a vehicle through which high-net-worth and institutional investors obtain exposure to strategies that might otherwise generate tax-inefficient income.
