INDEPENDENT VERDICT

Sage Partners Alpha 1 L.P. is unusual because its September 2026 Form D amendment is important for what did not change. The Cayman partnership still reports $56.03 million sold in an indefinite Rule 506(b) offering with a $500,000 minimum and 20 cumulative investors. SEC history shows the fund began with approximately $3 million reported in its 2021 filing, then increased by roughly $53.03 million in 2022 to reach the current $56.03 million level; later 2023, 2024 and 2026 amendments did not add further reported offering sales. That makes Alpha 1 fundamentally different from a newly fundraising fund. It appears to be a mature vehicle whose U.S. Regulation D capital base has remained stable while the wider Sage Partners platform continued operating and raising or managing capital through other entities. The filing identifies Sage Partners Private Fund as General Partner, Wang Fei, Yolanda Banks McCoy and Christopher Alan Day as directors of that GP, and Sage Partners Limited as the investment manager. SEC records therefore establish the legal chain clearly, but the $56.03 million figure should not be interpreted as the total size of Sage Partners' investment platform.

THE BIGGER STORY IS THAT ALPHA 1 SITS BESIDE OTHER SAGE VEHICLES WITH VERY DIFFERENT CAPITAL FIGURES

Sage Partners Onshore Fund provides the clearest comparison. Its March 24, 2026 Form D/A reported $152.75 million sold to 15 investors, a $500,000 minimum and an April 15, 2020 first sale. Like Alpha 1, the Onshore Fund identifies Sage Partners Limited as investment manager and uses the same Hong Kong AIA Tower management address. Yet the legal forms differ: Alpha 1 is a Cayman exempted limited partnership, while the Onshore Fund is a Cayman exempted company. Sage Partners Offshore Fund and Sage Partners Master Fund also appear in the broader platform. Those entities should not be added mechanically: a feeder, onshore sleeve, offshore sleeve or master fund can hold overlapping economic capital. The public evidence establishes a multi-vehicle architecture, but the reviewed Form D filings do not provide enough detail to calculate consolidated platform NAV without risking double counting.

SAGE PARTNERS IS NOT JUST A FORM D NAME — THE HONG KONG REGULATORY AND IPO RECORDS IDENTIFY THE ACTUAL INVESTMENT BUSINESS

Sage Partners Limited is independently documented by Hong Kong regulators as a licensed corporation with SFC CE number BOT987 and Type 9 Asset Management permission, with the license dating to March 31, 2020. Hong Kong Stock Exchange prospectuses repeatedly describe Sage Partners Limited as the investment manager of Sage Partners vehicles and identify Wang Fei as the controlling individual behind the manager. Those documents also describe a consistent investment philosophy: long-term fundamental investing focused historically on healthcare, with later disclosures expanding the description to healthcare and emerging technologies. This evidence is particularly valuable because FilingDossier did not locate a clearly attributable official public website for this specific licensed manager. A separate site using the Sage Partners name describes a multi-family office active in real estate and private equity, but its branding, business description and personnel evidence are insufficient to link it to Sage Partners Limited BOT987. It should therefore not be used as the manager's official website.

THE MASTER FUND HAS A PUBLIC TRANSACTION TRAIL THAT MAKES THE STRATEGY MORE CONCRETE

Unlike many Cayman hedge funds whose portfolio remains almost entirely private, Sage Partners Master Fund appears repeatedly in Hong Kong listing documents as an institutional or cornerstone investor. A 2021 prospectus described the Master Fund as investing primarily in pharmaceutical and healthcare-related companies. More recent Hong Kong offering documents describe the strategy as healthcare plus emerging technologies. In 2025, a listed-company allocation document showed Sage Partners Master Fund holding 897,100 H shares in one issuer subject to post-listing lock-up arrangements. In 2026, another Hong Kong IPO document disclosed a cornerstone investment agreement under which Sage Partners Master Fund subscribed for the Hong Kong-dollar equivalent of US$4 million of H shares. Separately, an April 2026 investor-relations record from Micro-Tech (Nanjing) lists Sage Partners Limited among institutional participants at a company results meeting. None of these transactions proves that Alpha 1 directly owns the securities, because the named investor is the Master Fund or the manager rather than Alpha 1 itself. But together they provide stronger evidence of the platform's actual healthcare/emerging-technology investment activity than generic marketing language.

THE INVESTOR COUNT ALSO NEEDS TO BE READ DIFFERENTLY FROM THE CAPITAL NUMBER

Alpha 1's 2026 amendment reports 20 cumulative investors and explicitly notes that the investor count is cumulative since fund inception. That disclosure matters because investor count can change even when cumulative Form D securities sold remain unchanged. A redemption, transfer, feeder subscription or investor-class change does not necessarily produce a new "amount sold" in the way a new subscription does. The combination of stable $56.03 million reported sales and 20 cumulative investors therefore should not be used to infer current NAV, current investor ownership percentages or current cash in the fund. Similarly, the Onshore Fund's $152.75 million Form D amount represents securities sold under that issuer's exempt offering, not necessarily current NAV after gains, losses, withdrawals or cross-vehicle investments.

FINAL ASSESSMENT

Sage Partners Alpha 1 has a research story that is unusually well supported outside the SEC database. Five entity-specific facts define it: the fund's reported sales rose from roughly $3 million in 2021 to $56.03 million in 2022 and have remained at that level through the September 2026 amendment; its investment manager is Hong Kong SFC Type 9 licensee Sage Partners Limited, CE BOT987; Wang Fei is repeatedly identified in both SEC and Hong Kong listing documents as a central manager/GP figure; a separate Sage Partners Onshore Fund reports $152.75 million of securities sold; and the broader Master Fund has appeared as an actual institutional investor in healthcare and emerging-technology transactions, including a disclosed US$4 million 2026 cornerstone subscription. The main diligence challenge is therefore not proving that the manager exists. It is understanding how Alpha 1, Onshore, Offshore and Master Fund capital flows interact, which assets belong economically to each vehicle, and whether published Master Fund investments should be attributed proportionally to Alpha 1 investors.
