INDEPENDENT VERDICT

OSP Lakeside Holdings, LLC is not a conventional private fund raising outside capital in the way its name might initially suggest. The Delaware LLC, SEC CIK 0001821321, was formed in 2020 and is directly tied to OceanSound Partners through its principal address, related persons and recurring SEC filings. Its latest 2026 Form D amendment reports an indefinite Rule 506(b) offering, $0 sold, zero investors and a $0 minimum, while describing the securities as profits interests granted to employees, directors, consultants and other service providers of the company or its affiliates. A separate but closely related entity, OSP Lakeside Management Aggregator, LLC, CIK 0001821322, filed another Form D/A on September 18, 2026 with the same $0 sold / zero investor profile and substantially the same profits-interest description. These filings therefore do not represent a zero-dollar failed fundraising round. They are much more consistent with equity-incentive and management-ownership vehicles sitting inside an OceanSound-sponsored portfolio-company structure.

The strongest penetration clue is the repeated appearance of Rupinder "Rob" Dang and the Bannockburn, Illinois address at 2801 Lakeside Drive, Suite 125. That is the operating address of Netrix, LLC / Netrix Global, an IT managed-services company that OceanSound acquired in July 2020. OceanSound's own portfolio page confirms that Netrix became an OceanSound investment in July 2020, is headquartered in the Chicago area and has remained a current portfolio company. Netrix's August 2020 transaction announcement independently says an affiliate of OceanSound recapitalized Netrix, with existing management retaining a significant ownership interest. That timing aligns precisely with OSP Lakeside Holdings and OSP Lakeside Management Aggregator being organized in 2020. The personnel connection is equally strong: Rob Dang, then Netrix CEO and later Vice Chairman, appears as a director of the Lakeside entities, while OceanSound principals Joe Benavides, Ted Coons, David Stein and Jeff Kelly appear in subsequent SEC amendments. The evidence therefore supports a strong structural connection between the "Lakeside" entities and OceanSound's ownership of Netrix, even though the SEC Form D itself does not use the Netrix name.

That connection becomes even clearer when the incentive structure is considered. The 2026 Form D for OSP Lakeside Management Aggregator explicitly states that the securities include profits interests granted to employees, directors, consultants and other service providers of the company or affiliates, while the offering shows no outside investor capital. Such structures are common in private-equity-backed companies where management participates economically through profits interests, incentive units or rollover equity rather than through a traditional third-party fundraising vehicle. Netrix's original recapitalization announcement expressly states that existing management retained a significant ownership stake after OceanSound's investment, which is consistent with the existence of a management aggregator. The underlying operating company has changed materially since the 2020 transaction. OceanSound says Netrix provides managed and professional IT services focused on cloud, security, application development, IT service management and collaboration, serving more than 1,500 midsize and enterprise clients. OceanSound's current portfolio page says the company has approximately 730 employees and identifies five add-on acquisitions completed under OceanSound ownership as of the portfolio profile, while later 2025 OceanSound materials describe the Ricoh USA IT Services acquisition as Netrix's sixth strategic acquisition since 2021. Earlier transactions included the IT Services business of Prosum, cybersecurity provider BTB Security and cloud-solutions provider Edrans. The 2025 Ricoh transaction materially expanded Netrix's U.S. geographic footprint and managed-services scale. Public corporate records further corroborate the legal operating connection: a 2026 Florida filing for Netrix, LLC uses exactly 2801 Lakeside Drive, Suite 125, Bannockburn, Illinois and identifies Ted Coons, Dean Gels and David Stein in senior corporate roles, while Blue Sky Holdco, LLC appears as Manager. This creates a multi-layer evidence chain linking the Lakeside SPVs, OceanSound personnel and Netrix operations.

The key diligence issue is therefore ownership economics rather than fundraising. Researchers should determine where OSP Lakeside Holdings, OSP Lakeside Management Aggregator, Blue Sky Holdco and Netrix sit in the acquisition chain; whether Lakeside Holdings owns common equity directly or through intermediate entities; what percentage belongs to OceanSound funds versus management; what vesting, repurchase and forfeiture provisions apply to profits interests; and whether the management aggregator participates pro rata in future sale proceeds. The operating company also carries typical leveraged-buyout and IT-services risks: integration of acquisitions, recurring-revenue retention, cybersecurity exposure, cloud-vendor concentration, labor retention, customer concentration, debt refinancing and exit valuation. OceanSound's sponsor-level scale has increased dramatically—its current website says its portfolio companies generate more than $3.9 billion of revenue and employ more than 13,500 people, while 2026 firm materials reference a $3.4 billion Fund III closing and more than $6.9 billion of regulatory assets—but those figures belong to OceanSound, not OSP Lakeside or Netrix. The operating-company story is also materially stronger today than it was at acquisition.

Netrix has pursued a multi-year buy-and-build strategy in cloud, cybersecurity and managed IT services, with multiple acquisitions and a 2025 transaction for Ricoh USA's IT Services operation.

For diligence, the important missing information is therefore not "how much did the Form D raise"

It is the ownership waterfall.

Researchers need to know how OSP Lakeside Holdings, the Management Aggregator, Blue Sky Holdco, OceanSound funds and Netrix fit together, what percentage management owns, where debt sits and how proceeds would be distributed in an eventual exit.

The SEC filing verifies the incentive vehicle.

OceanSound and Netrix materials verify the operating-company relationship.

The remaining value question sits in the private capitalization table, not the $0 Form D field.
