Nova Select Closed Its Entire $5 Million Offering With One Investor — SEC Review of the Nova Venture Fund II Connection and a New San Francisco VC Platform

INDEPENDENT VERDICT

Nova Select, LP is one of the more unusual small venture filings in the September 2026 batch because the entire $5 million offering was reported sold to a single investor only eleven days after the stated September 3 first sale. The September 14 Form D identifies a 2026 Delaware venture capital partnership, Nova Select GP, LLC as General Partner, and Endmoor Xsu and Carlo Agostinelli as Managing Directors of that GP. The fund relies on Rule 506(b) and, unusually, checks both Section 3(c)(1) and Section 3(c)(7) in the Investment Company Act section. The SEC filing therefore confirms a fully subscribed $5 million private venture vehicle, but it does not explain why only one investor supplied the full amount, whether that investor is an institution, affiliate, family office or another fund, or whether Nova Select was created for a single transaction. That one-investor structure is the most important fact to understand before treating Nova Select as an ordinary diversified VC fund.

THE REAL RESEARCH STORY IS THE SHARED INFRASTRUCTURE WITH NOVA VENTURE FUND II

Nova Select does not appear in isolation. Seven months earlier, Nova Venture Fund II, LP filed a Form D from the exact same 575 Market Street #1900 San Francisco address, with the same (978) 399-8595 phone number, Endmoor Xsu as Managing Director of the GP and Carlo Agostinelli as another Managing Director. Fund II was formed in Delaware in 2026 as a venture capital fund, also relied on Rule 506(b), also checked Sections 3(c)(1) and 3(c)(7), and disclosed a $100 million target before any first sale had occurred. The naming convention is different — Nova Select versus Nova Venture Fund II — but the identical office, phone, principals, exemption pattern and GP-side structure strongly support a common management platform. What the SEC record does not prove is the economic relationship between the two vehicles. Nova Select should not be called a feeder, opportunity fund or sidecar unless offering documents say so.

THE $5 MILLION / ONE-INVESTOR CLOSE SUGGESTS A VERY DIFFERENT PURPOSE FROM THE $100 MILLION FLAGSHIP

Fund II's February filing targeted $100 million and reported no first sale, while Nova Select later appeared with a fixed $5 million amount that was already completely sold. That contrast is much more informative than the two fund names themselves. A $100 million flagship-style vehicle and a fully subscribed $5 million one-investor vehicle can coexist for several reasons: a concentrated co-investment, continuation of a specific portfolio opportunity, a bespoke mandate for one LP, or a special-purpose allocation outside the main fund. None of those explanations is confirmed by the SEC filings, so FilingDossier would not select one without documentary support. But the structure means investors should ask a different question than "how large is Nova" The relevant issue is whether Nova Select owns a discrete asset or company that sits outside Fund II, and whether the single investor receives economics or governance rights different from investors in the larger vehicle.

THE PUBLIC BRAND IS STILL THINNER THAN THE LEGAL RECORD

The legal entities are easier to verify than the public-facing manager. Nova Select GP, LLC was separately registered in California in September 2026 using the same Market Street address, with Endmoor Xsu publicly listed as agent. Public venture databases group Nova Select and Nova Venture Fund II under a nascent "Nova Venture" platform and identify Xsu and Carlo Agostinelli as the team, but FilingDossier did not independently confirm a dedicated official Nova Select or Nova Venture website containing the fund names, CIKs, portfolio or management-company disclosures. That gap matters because a search engine can easily surface unrelated "Nova" venture firms. For this article, the strongest evidence is therefore the SEC entity chain and state business registration, not third-party brand pages.

FINAL ASSESSMENT

Nova Select is best understood as a fully funded $5 million venture vehicle inside a broader, still-young Nova fund ecosystem rather than as a stand-alone public-facing investment brand. Five facts distinguish it: the offering was 100% sold; there was only one investor; the fund shares its exact address and phone with Nova Venture Fund II; Endmoor Xsu and Carlo Agostinelli appear across both structures; and Fund II carries a $100 million target while Nova Select is only $5 million. Those facts create a strong case for common management but not for a specific master/feeder or sidecar relationship. The most valuable next evidence would be the Nova Select LPA, subscription agreement and portfolio schedule showing whether the vehicle owns one company, one secondary block or a diversified set of investments, and whether the single investor is affiliated with the sponsor or independent.

IMPORTANT FORM D NOTICE

The SEC filings confirm Nova Select's $5 million offering, full amount sold, one investor and its relationship to Nova Select GP, LLC, Endmoor Xsu and Carlo Agostinelli. They also show substantial structural overlap with Nova Venture Fund II. They do not establish that Nova Select is a feeder, sidecar, SPV or parallel fund to Fund II, and FilingDossier does not make that inference without offering documents. Form D and CIK records are notice filings and identifiers, not SEC approval or endorsement.

Important Form D notice: A Form D filing is a notice filing for an exempt securities offering. It does not mean that the U.S. Securities and Exchange Commission has approved, licensed, endorsed, or verified the issuer or the offering.
