INDEPENDENT VERDICT
Northwind Trade Finance Fund LP is unusual not because of its $100 million target, but because its two SEC filings tell a story that does not reconcile cleanly on their face. The Delaware partnership filed its initial Form D on August 26, 2026 reporting $150,000 sold from a $100 million Rule 506(b) equity offering and a $100,000 minimum investment. Less than three weeks later, its September 14 amendment doubled the reported amount sold to $300,000 and reduced the remaining amount to $99.7 million. Yet the amended filing still marks the first sale as "yet to occur" and still reports zero investors. Those three fields — $300,000 sold, no first sale, and zero investors — cannot be interpreted like a normal fundraising progression without additional explanation. The SEC filing itself confirms the numbers; it does not explain whether the $300,000 represents sponsor capital, an affiliate commitment, an administrative subscription, a filing-entry error, or some other structure. That unresolved contradiction is the central diligence issue in this case.
THE FUND IS NOT FILED LIKE A CONVENTIONAL PRIVATE CREDIT FUND
Northwind Trade Finance Fund LP does not identify itself as a Pooled Investment Fund, hedge fund, private equity fund or venture fund. It selected "Other" as its industry group, offers equity rather than pooled investment fund interests, and does not claim Section 3(c)(1) or Section 3(c)(7) on the September amendment. Northwind Capital Management LLC is listed as General Partner of the issuer, while Jared Daniel Cook signed as Manager of the General Partner. The fund also lists "Northwind Trade Finance" as a sales-compensation recipient, but the Form D provides no CRD number, no associated broker-dealer and $0 in reported sales commissions and finder's fees. That combination is distinctive: the entity carries a trade-finance name, yet the public filing does not disclose a loan portfolio, receivables pool, borrowers, counterparties, collateral structure or even a formal pooled-fund classification. The actual trade-finance mechanics therefore need to come from the PPM, partnership agreement and asset schedule rather than being inferred from the issuer name.
A POSSIBLE NORTHWIND INVESTMENT GROUP CONNECTION EXISTS — BUT IT SHOULD NOT BE OVERSTATED
There is a meaningful public connection to Northwind Investment Group, but the legal chain is not complete. Northwind Investment Group's LinkedIn profile identifies Jared Cook as an employee and lists Trade Finance among the firm's specialties; its website describes a Miami-based private investment platform active in multifamily real estate, venture capital and cross-border financial infrastructure. The firm's venture materials specifically discuss trade-finance platforms and U.S.–Latin America supply-chain infrastructure, while multiple Northwind website articles are authored by Jared Cook. This creates a credible operational link between the SEC signer and the public Northwind brand. However, the SEC issuer uses 8 The Green in Dover, Delaware, while Northwind Investment Group publicly uses Miami addresses, and FilingDossier did not find a primary-source website statement saying that Northwind Investment Group owns Northwind Capital Management LLC or sponsors Northwind Trade Finance Fund LP. The website should therefore be treated as a likely related operating platform, not as conclusively proven legal ownership.
JARED COOK'S OTHER 2026 SEC SIGNATURES CREATE A SECOND RESEARCH THREAD
Jared Daniel Cook does not appear only on Northwind Trade Finance Fund. SEC records also show him signing a May 21, 2026 Form D for Strait Capital LP as Manager of the General Partner, and a September 14 filing for Nexus Growth Fund LP under the same "Manager of the General Partner" title. Nexus Growth Fund itself carries a $100 million offering target and was amended on the same day as Northwind Trade Finance Fund. This does not establish that all three vehicles share the same assets or strategy, but it materially changes the diligence picture: investors should determine whether Cook is managing several parallel investment programs through common infrastructure, whether Northwind Capital Management controls any of those entities, how opportunities are allocated among them, and whether service providers or capital sources overlap. The existence of multiple 2026 vehicles also makes it important to identify which fund actually owns any trade-finance receivables or loans rather than assuming that every Cook-linked issuer belongs to one portfolio.
FINAL ASSESSMENT
Northwind Trade Finance Fund LP currently offers more regulatory evidence about its capitalization mechanics than about its trade-finance assets. SEC records verify a Delaware partnership, Northwind Capital Management LLC as General Partner, Jared Daniel Cook as signer, a $100 million Rule 506(b) target, a $100,000 minimum and an increase in reported sold capital from $150,000 to $300,000 between August 26 and September 14. Public Northwind Investment Group materials independently place Jared Cook inside a firm that markets trade finance and cross-border investment themes, but the exact legal bridge from that website to Northwind Capital Management LLC remains unconfirmed. The most important unanswered question is not whether a Form D exists; it is why the amended Form D reports $300,000 sold while simultaneously reporting zero investors and stating that the first sale has not occurred. Until the issuer explains that discrepancy and identifies the underlying trade-finance assets, counterparties and legal ownership chain, the public record is better described as an early capital-formation structure than a fully transparent trade-finance fund.

IMPORTANT FORM D NOTICE
The SEC records confirm the offering disclosures described above but do not resolve the apparent inconsistency between the reported $300,000 sold amount, zero investors and "first sale yet to occur." FilingDossier does not treat the existence of a Form D, CIK or Rule 506(b) filing as SEC approval or validation of the fund. The relationship between Northwind Investment Group, Northwind Capital Management LLC and Northwind Trade Finance Fund LP should also remain partially unconfirmed until primary corporate or offering documents establish the ownership chain.
