It relies on Rule 506(b) and Section 3(c)(1), is classified specifically as a Venture Capital Fund, and reports a nominal $1 minimum-investment field. More unusually, the filing names three separate entities as investment managers and promoters: Fourth Revolution Capital LLC, Northforge Ventures LLC and Atoms & Bits Management LLC. Northforge Ventures' official website identifies Griffin McCaffery as Founder and Principal and describes the firm as investing in ambitious founders across industries and stages. It says McCaffery's prior venture investment experience spans artificial intelligence, software, consumer products, beauty, beverage and other emerging industries. The firm is based in Santa Monica, which aligns with the Santa Monica address for Northforge Ventures LLC in the Form D. That is a useful entity match and strongly distinguishes the correct U.S. venture firm from unrelated businesses using the Northforge name in the United Kingdom, Germany and elsewhere. However, the official site currently provides limited public evidence regarding realized exits, audited fund performance, institutional LPs, check-size policy or a complete named portfolio. Fund I should therefore be presented as an identifiable new venture platform with a verified founder and SEC-linked manager, not as an established multi-vintage institutional franchise.

FOURTH REVOLUTION CAPITAL ADDS A DISTINCT CRYPTO AND DIGITAL-ASSET CAPABILITY

The second named investment manager, Fourth Revolution Capital LLC, or 4RC, has a separate and significantly more developed public regulatory trail. Its official website describes a crypto-native venture strategy focused on blockchain technology, artificial intelligence, token economics, institutional distribution and on-chain governance. The firm is based at the same 2219 Main Street Santa Monica address shown in Northforge Fund I's Form D. Fourth Revolution Capital also has its own fund history: 4RC Ventures II LP filed Form D under a separate CIK and identifies Fourth Revolution Capital LLC as an investment manager, while Fourth Revolution itself reports to regulators under CRD 311262. These facts matter because 4RC's inclusion suggests Northforge Fund I may have access to a specialized Web3, digital-asset and AI investment network in addition to Northforge's broader multi-industry sourcing. They do not, however, establish that Fund I will invest primarily in crypto or that 4RC's existing portfolio belongs to Northforge Fund I.

THE "A MASTER SERIES" WRAPPER SHOWS THIS IS PART OF A REPEATABLE FUND-INFRASTRUCTURE SYSTEM

Northforge Fund I is not the only 2026 issuer using the legal naming convention "a Series of A Master Series, LLC." SEC records show numerous unrelated venture and special-purpose vehicles using the same Miami address, Alternative Financial Corporation as administrator and Bryan Casey as the administrator's officer. Examples filed around the same period include Atoms-related vehicles, infrastructure series, AI or semiconductor vehicles and other manager-specific SPVs. That pattern indicates that A Master Series functions as a reusable fund-administration and legal infrastructure layer supporting multiple independently branded investment vehicles.
