MY Japan Focused Fund SEC Review 2026: York Capital Spinout, $123.6M U.S. Reg D Capital and a Catalyst-Driven Japan Strategy

INDEPENDENT VERDICT

MY Japan Focused Fund is not a newly created Japan hedge fund with an unknown sponsor. It is the renamed successor to York Capital Management's Japan-focused investment vehicles and is now managed by Hong Kong-based MY.Alpha Management HK Advisors Limited. The September 4, 2026 filings show two parallel structures: Cayman-based MY Japan Focused Fund Ltd reported $86.58 million sold to 19 U.S. investors, while Delaware-based MY Japan Focused Fund LP reported $37.05 million sold to 25 investors; both use Rule 506(b), Section 3(c)(7), indefinite offerings and a $100,000 minimum. The combined U.S. Regulation D amount is approximately $123.63 million, but that figure is not the strategy's total AUM because the Cayman filing specifically states that its Form D sales data exclude non-U.S. investors. Independent 2025 reporting placed MY.Alpha's externally available Japan multi-strategy fund at approximately $700 million, illustrating why U.S. Form D subscriptions and total strategy assets must remain separate.

MY.Alpha's history is central to understanding the fund. The official manager website states that MY.Alpha Management HK Advisors Limited was formerly York Capital Management Asia (HK) Advisors Limited, has operated in Hong Kong for more than 15 years and historically managed York Capital Management Global Advisors' Asian hedge-fund business. Contemporary reporting around the 2021 spinout identified Masahiko Yamaguchi as leader of the new MY.Alpha platform and described the Japan strategy as a long-running part of the former York Asia operation. The current manager is licensed by Hong Kong's Securities and Futures Commission under CE APJ354 for Type 4 Advising on Securities and Type 9 Asset Management. In the United States, however, MY.Alpha is an Exempt Reporting Adviser under CRD 318559 / SEC 802-123349 and is explicitly listed by IAPD as "Not Currently Registered"; it therefore should not be described as an SEC-registered RIA. Hong Kong exchange filings in 2026 further identify Masahiko Yamaguchi as the indirect ultimate owner of MY.Alpha and describe the firm's broader process as a catalyst-driven, fundamental-value approach investing in Asian companies for institutions, endowments, foundations, funds of funds and wealthy families.

The investment style is materially more active than a passive Japan equity portfolio. MY.Alpha describes its overall process as fundamental and catalyst driven, seeking to profit from themes of change across Asia, while Japanese regulatory filings show the manager taking positions large enough to trigger 5% ownership disclosures and reserving the right to advise management or make important proposals. A particularly useful 2026 example is Raksul: MY.Alpha disclosed 3.018 million shares, or 5.08%, in January 2026, funded with approximately ¥5.385 billion of client capital; the stated purpose was investment plus possible management advice or significant proposals. By March 10, the manager had reduced the reported position to zero. That episode should not be attributed specifically to MY Japan Focused Fund because the EDINET filing identifies MY.Alpha as investment manager rather than naming the underlying client vehicle, but it provides direct evidence of the sponsor's Japan investment style: concentrated positions, active monitoring, willingness to engage management and the ability to exit rapidly when the thesis or catalyst changes. Earlier Japanese issuer records also identify York Japan Focused Master Fund as a shareholder in Japanese companies, reinforcing continuity between the former York vehicle family and today's MY.Alpha platform.

The parallel-fund architecture also requires care. The Cayman Ltd and Delaware LP are not two unrelated brands; they are parallel investor channels within the same MY Japan Focused strategy. The Delaware fund uses MY Japan Focused GP Limited as general partner, while the Cayman fund identifies MY.Alpha Management HK Advisors Limited directly as manager. Kevin Carr appears as a director across the structure, and the same Hong Kong address and telephone connect the entities operationally. The Cayman fund additionally states that its reported $86.58 million represents only exempt U.S. sales, so combining it with the Delaware fund yields a useful U.S. Regulation D measure but not total strategy capital. The broader MY.Alpha platform also manages MY Asian Opportunities and other Asia-oriented vehicles; those should be treated as one MY.Alpha sponsor family for FilingDossier de-duplication, although separate strategies should not have their AUM or holdings mechanically combined.

FINAL ASSESSMENT

MY Japan Focused Fund has a strong regulatory and historical identity: SEC records document the direct transition from York Japan Focused Fund to MY Japan Focused Fund, MY.Alpha's own website confirms the York Asia heritage, Hong Kong SFC licensing verifies the operating manager, Japanese EDINET records demonstrate real concentrated equity activity, and independent reporting shows that the Japan strategy has grown well beyond the U.S.-only Form D amounts. The main diligence questions concern strategy concentration, short exposure, derivatives, activist or engagement positions, liquidity and realized performance rather than sponsor identity. Investors should obtain the current long/short book, gross and net exposure, top-ten concentration, sector mix, market-cap profile, yen hedging, derivatives use, annual returns, drawdowns and fee terms. Japan's corporate-governance reforms, unwinding cross-shareholdings and improving capital allocation can create catalyst opportunities, but a concentrated Japan strategy can still suffer from currency moves, crowded reform trades, governance disappointment and rapid reversals in individual securities.

KEY FINDINGS / FUND STRUCTURE / REGULATORY STATUS

MY Japan Focused Fund consists of at least two parallel U.S.-offered vehicles. Cayman-based MY Japan Focused Fund Ltd, formerly York Japan Focused Fund Ltd, reports $86,582,585 sold to 19 U.S. investors; Delaware-based MY Japan Focused Fund LP, formerly York Japan Focused Fund LP, reports $37,045,132 sold to 25 investors. Both filings are dated September 4, 2026, both report a January 1, 2023 first-sale date, both use Rule 506(b) and Section 3(c)(7), both have $100,000 minimums and neither reports sales commissions or finder fees. Combined reported U.S. Regulation D sales are $123,627,717, but the Cayman issuer explicitly excludes non-U.S. sales from Item 13, so this is not total strategy AUM. MY.Alpha Management HK Advisors Limited manages the strategy from 100 Queen's Road Central in Hong Kong, is licensed by the SFC under APJ354 for Type 4 and Type 9 activities, and files in the U.S. as an active Exempt Reporting Adviser rather than an SEC-registered investment adviser.

YORK-TO-MY.ALPHA HISTORY / STRATEGY EVIDENCE

MY.Alpha states that it formerly operated as York Capital Management Asia (HK) Advisors Limited and historically managed York Capital's Asian hedge-fund business. Bloomberg reporting around the 2021 spinout described Masahiko Yamaguchi as leading a platform expected to begin with more than $3.5 billion and referenced a long-running Japan strategy; by June 2025, independent reporting said the Japan multi-strategy fund opened to external investors in 2023 had grown to approximately $700 million. These reported amounts are historical platform or strategy figures and should not be confused with the two 2026 Form D amounts. MY.Alpha's stated investment process is fundamental and catalyst driven, focused on changes across Asian companies. Japanese large-shareholding filings provide practical evidence of that style: in January 2026 MY.Alpha crossed 5% in Raksul and stated that it could advise management or make important proposals depending on circumstances, before reporting a full exit in March. This is manager-level evidence and should not be represented as proof that MY Japan Focused Fund itself owned Raksul without fund-specific documentation.

WEBSITE / ENTITY PENETRATION / INVESTOR DILIGENCE

The official MY.Alpha domain, Hong Kong address, telephone, old York name, current manager identity, SFC licenses, Kevin Carr relationship and U.S. ERA status all reconcile across primary regulatory sources. Masahiko Yamaguchi is independently identified in Hong Kong offering documents as the indirect ultimate owner of MY.Alpha. What remains unavailable publicly is the MY Japan Focused Fund's current complete portfolio, NAV, gross and net exposure, long/short split, derivatives exposure, yen hedge, leverage, current auditor, administrator, prime brokers, current management/performance fees and audited net return history. Investors should specifically ask how much of NAV sits in the ten largest names, how much exposure is activist or engagement driven, whether the strategy can use event-driven credit or derivatives in addition to equities, how position sizing changes around catalysts, what liquidity limits apply to smaller Japanese companies, and whether the Cayman and Delaware vehicles are economically pari passu after taxes and expenses.

CORE RISKS / SEC SNAPSHOT

The principal risks are concentrated Japan equity exposure, company-specific catalyst failure, corporate-governance reform disappointment, yen currency exposure, short-sale and derivatives risk if used, liquidity risk in smaller Japanese companies, market-neutral or hedging basis risk, activist-engagement risk, event-driven timing risk and the danger of treating MY.Alpha's broader platform scale as fund-specific assets. SEC snapshot: MY Japan Focused Fund Ltd, CIK 0001848548, Cayman Islands, formerly York Japan Focused Fund Ltd, $86,582,585 sold, 19 U.S. investors; MY Japan Focused Fund LP, CIK 0001848509 / File No. 021-393594, Delaware, formerly York Japan Focused Fund LP, $37,045,132 sold, 25 investors. Both latest filings were submitted September 4, 2026, have indefinite offerings, $100,000 minimums, Rule 506(b), Section 3(c)(7), $0 commissions and $0 finder fees.

IMPORTANT FORM D NOTICE

Form D is a notice of an exempt securities offering. Filing with the SEC does not mean the SEC has approved, endorsed, audited or verified MY Japan Focused Fund, MY.Alpha Management, Masahiko Yamaguchi, Kevin Carr, any Japanese portfolio company, investment thesis, historical return or expected result. The combined $123.627717 million reported by the Cayman and Delaware vehicles measures U.S. Regulation D securities sold and is not total Japan-strategy AUM; the Cayman filing expressly excludes non-U.S. sales. External reports describing approximately $700 million in the wider Japan strategy are also not the same as either Form D vehicle's current NAV. Investors should rely on current audited financial statements, position reports, exposure data, fee documents and redemption terms before investing.

Important Form D notice: A Form D filing is a notice filing for an exempt securities offering. It does not mean that the U.S. Securities and Exchange Commission has approved, licensed, endorsed, or verified the issuer or the offering. Readers should verify information through official SEC sources and conduct their own due diligence.
