INDEPENDENT VERDICT

Stratos Systematic Equity Fund LP is a new 2026 hedge fund with only $1.75 million sold to two investors at its first public filing, but its legal infrastructure is not new. The September 15, 2026 Form D identifies Stratos Liquid Fund GP LLC as general partner and Stratos Technologies Capital Management LLC as manager—the same entities used in the older Stratos Liquid Fund. That reuse is the first distinctive feature: rather than creating an entirely separate management stack for the systematic-equity strategy, Stratos has placed the new fund beneath a GP whose name still references the pre-existing Liquid Fund. The second feature is regulatory history. Stratos Technologies Capital Management, CRD 311846, was previously an SEC-registered investment adviser under SEC File No. 801-127814, terminated that registration on September 30, 2025 and has since reported to the SEC as an active exempt reporting adviser under the ERA framework. That change does not mean the manager disappeared from SEC records, but it materially changes what information investors can expect from Form ADV. The new fund therefore combines a very early fundraising stage with an established multi-fund manager whose regulatory status and fund architecture have both evolved.

THE NEW FUND RAISED $1.75 MILLION FROM TWO INVESTORS IN ITS FIRST TWO WEEKS

Stratos Systematic Equity Fund LP, CIK 0002154958 and SEC File No. 021-597498, was organized in Delaware in 2026. Its first sale occurred on September 1 and its initial Form D was filed September 15. The issuer selected hedge fund, Rule 506(b) and Section 3(c)(1), reports an indefinite offering expected to last more than one year and had sold $1.75 million to two investors by filing date. No commissions, finder fees or related-person use of proceeds were reported, while aggregate NAV was declined. The practical minimum was reported as $0, which should not be interpreted as proof that investors can subscribe without a meaningful commitment; it is only the Form D field. With two investors and $1.75 million raised, the relevant question today is not final fund size but whether this is a seed-stage launch that will eventually scale alongside Stratos's older liquid and venture vehicles.

The legal chain is unusually revealing. Stratos Liquid Fund GP LLC is the general partner of the new Systematic Equity Fund, while Stratos Technologies Capital Management LLC is identified directly as manager. Brian Bytof signed as CFO of the manager. The GP name is not a typo created by FilingDossier: SEC records for the older Stratos Liquid Fund show the exact same Stratos Liquid Fund GP LLC and the same Stratos Technologies Capital Management LLC manager. That gives the new issuer a direct structural connection to an existing hedge-fund vehicle even though "Systematic Equity Fund" and "Liquid Fund" are separate legal issuers.

STRATOS LIQUID FUND SHOWS THIS IS A STRATEGY EXPANSION, NOT A FIRST FUND

Stratos Liquid Fund LP was formed in 2023 and filed its original Form D in April 2024 from 610 Newport Center Drive in Newport Beach. Its filing named Stratos Liquid Fund GP LLC as GP, Stratos Technologies Capital Management LLC as manager and Rennick Palley in the management chain. Current private-fund reporting also identifies Stratos Liquid Fund as an existing hedge fund managed by Stratos Technologies Capital Management, alongside Stratos Digital Venture Fund II, Stratos Venture Fund III, STCM DeFi Fund and multiple smaller SPVs. Public Form ADV-derived data from 2026 place the manager at roughly $67.9 million of regulatory assets under management, seven clients and six employees, although individual fund gross-asset figures and adviser-level RAUM are different regulatory measurements and should not be mechanically added or reconciled without the current ADV schedules.

The broader Stratos history is important because the firm has operated across very different asset categories. SEC records for Stratos Venture Fund III identify Rennick Palley as managing member of that fund's GP, while public-company registration statements have independently identified both Stratos Venture Fund III and Stratos Liquid Fund as securityholders in listed companies and state that Palley holds voting and investment control for those positions. The new Systematic Equity Fund therefore appears to extend the platform further into systematic public-market investing rather than representing a wholly new sponsor entering asset management for the first time.

THE MANAGER'S 2025 REGULATORY STATUS CHANGE NEEDS TO BE READ PRECISELY

Stratos Technologies Capital Management has an unusually important regulatory timeline. A March 2025 Form ADV identified the firm as SEC-registered under CRD 311846 and SEC File No. 801-127814. Current IAPD records now show that SEC investment-adviser registration as terminated effective September 30, 2025 and separately show the firm as an active SEC exempt reporting adviser beginning October 8, 2025, currently associated with SEC ERA file number 802-134714. An exempt reporting adviser still files information with the SEC but is not the same regulatory category as a fully SEC-registered investment adviser.

This distinction is highly relevant to the 2026 Systematic Equity launch. Investors should not copy the old 801-127814 number into current marketing and describe Stratos as presently SEC-registered without checking current IAPD status. Conversely, "registration terminated" should not be mischaracterized as the manager having been expelled or sanctioned; the current SEC database shows an active ERA reporting status. The key diligence question is why the manager moved from full registration to the private-fund adviser exemption and how that affects compliance infrastructure, disclosures and the types of clients it serves.

"SYSTEMATIC EQUITY" IS A NAME, NOT YET A PUBLICLY DISCLOSED MODEL

The greatest remaining information gap is the investment strategy itself. The Form D identifies the issuer as a hedge fund but does not explain whether "Systematic Equity" means quantitative long/short equities, market-neutral factor investing, systematic long-only exposure, statistical arbitrage, machine-learning models or another process. Public records for the manager and its older funds establish experience with liquid securities, venture investments and digital-asset-related funds, but that background does not justify inventing the new fund's model.

The same caution applies to performance and leverage. Nothing in the current Form D provides gross exposure, net exposure, benchmark, position count, shorting authority, derivatives usage, financing relationships or historical returns. For this particular fund, obtaining the private placement memorandum is therefore more valuable than attempting to infer the strategy from the legal name. Until those materials are available, FilingDossier treats "Systematic Equity" as the official fund name rather than as a complete description of investment methodology.

FINAL ASSESSMENT

Stratos Systematic Equity Fund is a genuine new SEC Form D issuer with a well-documented manager connection, but it remains at a very early fundraising stage. The September filing confirms $1.75 million from two investors, while earlier SEC filings establish continuity through Stratos Liquid Fund GP LLC, Stratos Technologies Capital Management LLC and Rennick Palley's broader Stratos fund network. The manager's current CRD record also provides an unusually important regulatory distinction: it moved from SEC-registered adviser status to active exempt reporting adviser status in late 2025.

The most important diligence issues are therefore unusually specific. Investors should determine why the Systematic Equity Fund uses the Liquid Fund GP, obtain the actual quantitative investment mandate, understand whether assets or trades are allocated alongside Stratos Liquid Fund, verify current service providers and leverage arrangements, and review the manager's ERA status rather than relying on an obsolete SEC registration description.
