INDEPENDENT VERDICT

Sense Feeder LP is one of the more unusual September 2026 venture filings because the legal name reveals more than the public investment materials do. The Delaware limited partnership explicitly calls itself a "Feeder," is classified as a Venture Capital Fund, relies on Rule 506(b) and Section 3(c)(1), intends to remain open for more than one year and states that its general partner and certain manager-approved members will receive carried interest while the manager receives a management fee. Yet as of the filing it had not made its first sale, had raised $0 from zero investors, reported an indefinite offering amount and a $0 minimum, and did not publicly identify the master fund, parallel vehicle, underlying portfolio or even the legal name of the general partner or manager receiving those economics. The only named related person is Evan McSween Carter, described as sole member of the general partner and Founding Managing Partner. That combination creates a very different diligence problem from a seasoned fund: Sense is easy to verify as a newly organized securities vehicle, but the economic structure implied by the word "Feeder" remains substantially undisclosed. The most important question is therefore not whether a Form D exists; it is what fund, portfolio or investment program investor capital will ultimately feed into.

The filing is sparse but several details are meaningful when read together. Sense Feeder LP, CIK 0002154772, was organized in Delaware in 2026 but lists 5528 S. Fort Apache Road, Las Vegas, Nevada 89148 as its principal business address and uses 347-573-1790 as its phone number. Evan McSween Carter appears at that same address and is the only related person disclosed. The fund selects Venture Capital Fund rather than Other Investment Fund, Hedge Fund or Private Equity Fund, so the regulatory filing does establish a venture-capital orientation even though no sector thesis is stated. It reports "No Revenues," which is consistent with a pre-launch fund, an indefinite offering amount, first sale yet to occur, $0 sold, zero investors, no broker-dealer, no sales commissions and no finder fees. More unusually, Item 16 says the general partner and certain manager-confirmed members are entitled to carried interest and that the manager is entitled to a management fee, while simultaneously estimating $0 of offering proceeds going to related persons. Those two statements are not contradictory: Form D asks about use of gross offering proceeds, while management fees and carry can be determined later under the partnership documents. But because Sense discloses neither the percentage nor the fee base, the LP agreement is essential to determine whether fees are charged on commitments, invested capital, NAV or another basis and how carry is calculated.

The word "Feeder" is the central structural clue and also the biggest information gap. In conventional private-fund architecture, a feeder generally aggregates capital from a particular investor class and invests substantially all of that capital into a master fund or another primary investment vehicle. Sense's Form D does not identify such a master, does not name another Sense vehicle, does not disclose whether the feeder is domestic or tax-oriented, and does not reveal whether investors obtain exposure to a diversified venture portfolio, one external fund, one manager's flagship vehicle or another pooled structure. No master-feeder relationship should therefore be invented from the fund name alone. The Section 3(c)(1) election is consistent with a private-fund structure subject to limits on beneficial owners, but it does not reveal the destination of capital. The absence of a minimum investment is also notable for a feeder fund: it may indicate that minimums are handled contractually rather than in Form D, but until subscriptions begin there is no public investor-size evidence. Because no first sale had occurred, current research can verify the shell and governance framework much more strongly than it can verify portfolio substance.

The deeper personnel search produces one potentially important historical connection. SEC records for Kismet Cardinal LLC, CIK 0002079766, also identify Evan McSween Carter as a managing member of the issuer's manager entity. Kismet was formed in 2025, began selling on June 3, 2025 and by its February 18, 2026 Form D reported $3,565,500 sold to 38 investors under Rule 506(b), with an indefinite offering and no broker commissions. Its related-person group also includes Louis Baudoin, Stephen Tipton Horn and Benjamin Lawrence, and the filing says managers and certain members are entitled to carried interest. Kismet's public website provides the investment thesis that the SEC filing lacks: it describes the platform as providing "capital and operational excellence for Stanford Biotech," partnering with Stanford professors and experienced industry teams in large-addressable-market biotechnology opportunities. The identical full legal name Evan McSween Carter makes the connection highly significant, but because Sense's Form D does not mention Kismet Cardinal, Kismet's portfolio thesis should not automatically be attributed to Sense. What the prior filing does establish is that the named Sense principal has already appeared in another private pooled-investment structure that successfully moved beyond pre-launch status into a multi-investor raise.

There is a second, quieter diligence issue around the Las Vegas address. 5528 S. Fort Apache Road is clearly not unique to Sense: independent public records show that multiple unrelated operating businesses and professional entities have used the same street address, including Aqua Connect, MedElite Capital, law offices and other companies. That means the address is useful for confirming the exact Form D contact location but weak evidence of a dedicated Sense investment-management headquarters. Researchers should therefore avoid describing 5528 S. Fort Apache as a standalone Sense office, portfolio site or exclusive sponsor address without lease, signage or business-registration evidence. Taken together, the current record supports a narrow but meaningful conclusion: Sense Feeder LP is a newly formed, pre-first-sale venture vehicle controlled by Evan McSween Carter, with fee and carry economics already contemplated and a principal who has prior SEC-visible private-fund experience, but the fund's master vehicle, manager legal entity, strategy, portfolio, adviser registration and operating infrastructure remain largely undisclosed.

INDEPENDENT ASSESSMENT

Sense Feeder should not currently be analyzed like a fully operating venture fund because the most important economic facts have not yet become public. There is no first sale, no LP base, no disclosed amount raised and no visible master vehicle. The strongest evidence available today concerns governance: Evan McSween Carter controls the GP, the vehicle is deliberately classified as venture capital, Rule 506(b) and Section 3(c)(1) have been selected, and the governing documents already provide for management fees and carried interest.

Carter's earlier appearance in Kismet Cardinal materially strengthens the manager-side evidence because that separate SEC vehicle had reached $3.5655 million from 38 investors by February 2026 and has a functioning public biotechnology investment thesis. It does not, however, prove that Sense will invest in Stanford biotech or that Kismet is the master fund. The correct conclusion is that the same named principal has prior private-fund activity while Sense itself represents a new and still opaque structure.

The single most important missing document is the Sense partnership agreement or private placement memorandum. It should identify the GP and manager by legal name, specify the master or target fund, explain allocation and follow-on rules, disclose management-fee and carried-interest percentages, identify key-person provisions and determine whether Sense investors bear an additional layer of fees at the underlying fund level. Until that information appears, the fund name "Feeder" should be treated as a structural signal rather than proof of a particular master-feeder architecture.
