INDEPENDENT VERDICT
Sanctum Storage TX 2 LP is not a paper-only real-estate issuer with no identifiable operating business behind it. The September 2026 Form D can be linked to a real self-storage platform, recurring principals Mark Ameerali and Andrew Leese, a separate real-estate ownership entity called Maplequity Partners LP, operating Sanctum Storage facilities in Texas, Oklahoma and Virginia, a publicly documented $1.6 million expansion of the Abilene property and independently visible Virginia property acquisitions. What the public record does not yet establish is which exact Texas asset sits inside TX 2 LP. That distinction matters. The Form D verifies a $1.4 million equity offering by a Texas limited partnership headquartered administratively in Post Falls, Idaho, but it does not name a property address, acquisition price, debt package, occupancy, cap rate or projected investor return. The broader operating chain is unusually verifiable; the specific economic bridge from the $1.4 million raise to one particular storage property remains private.
Sanctum Storage TX 2 LP, CIK 0002149588, was formed in Texas in 2026 and filed its new Form D on September 14. It is categorized as Commercial Real Estate rather than a pooled investment fund, offers equity under Rule 506(b), has a $50,000 minimum, reports a fixed $1.4 million offering and, as of filing, had sold $0 to zero investors with first sale yet to occur. No broker-dealer, placement agent, commission or finder fee is disclosed. Mark Ameerali and Andrew Leese are both listed as directors, with Ameerali signing the filing. The issuer's principal business address is 3905 E. Ponderosa Blvd., Post Falls, Idaho 83854—the same address and 208-967-4164 telephone number that recur across related entities. This is already a useful clue: the issuer is Texas-organized, but its control and administrative center is tied to the Idaho sponsor address rather than the yet-unidentified Texas property itself. The filing also checks the box indicating securities "have been or may be sold" to non-accredited investors while simultaneously reporting zero investors; because the offering relies on Rule 506(b), that checkbox is not inherently contradictory in the same way it would be for a 506(c) offering, but any eventual non-accredited purchasers would still be subject to the regulatory limits and disclosure requirements applicable to 506(b).
The strongest sponsor-level connection is Maplequity Partners LP. SEC-indexed records for Maplequity Partners identify Mark Ameerali and Andrew Leese as directors and use exactly the same 3905 E. Ponderosa Blvd., Post Falls address and 208-967-4164 phone number. More importantly, a Texas Department of Licensing and Regulation project record for the 2026 Sanctum Storage Abilene expansion identifies MAPLEQUITY PARTNERS LP as the property owner, gives that same Idaho address and telephone number, and lists Mark Ameerali as the owner contact. The project itself is specific: Sanctum Storage at 6325 Butterfield Trail, Abilene, Texas, registered a privately funded expansion estimated at $1.6 million, scheduled from June 22 through September 30, 2026, adding two climate-controlled storage buildings of 12,000 square feet each plus parking. That makes Maplequity more than an abstract affiliate name—it appears in a Texas government construction record as the owner of an operating Sanctum Storage property.
That Abilene evidence is particularly relevant because Sanctum's own website independently lists 6325 Butterfield Trail as its Abilene location and advertises drive-up units, climate-controlled storage, boat/RV parking, online leasing and payments. U-Haul separately lists Sanctum Storage at the same address as a neighborhood dealer, providing another third-party operating cross-check. Public storage-auction notices from September 2026 also identify Sanctum Storage Texas – Abilene at 6325 Butterfield Trail and show active lien-enforcement auctions for occupied units. Those notices are not evidence of abnormal delinquency—they are a routine part of self-storage operations—but they independently demonstrate that the Abilene facility was operating with real tenants at the same time TX 2 LP was filing its new securities offering. The important caveat is that no reviewed document explicitly says TX 2 LP owns the Abilene facility or finances its expansion. The $1.4 million TX 2 raise and the $1.6 million Abilene project are close enough in timing and magnitude to merit investigation, but FilingDossier does not equate them without a direct title, partnership or offering-document link.
THE SEC HISTORY SHOWS A REPEAT STATE-BY-STATE PROPERTY VEHICLE MODEL
Sanctum's fund-raising pattern predates TX 2. Sanctum Storage VA I LP filed Form D in January 2025 for a $750,000 Rule 506(b) offering. Later that year Sanctum Storage OK I LP, CIK 0002098083, appeared as an Oklahoma limited partnership using the same 3905 E. Ponderosa Boulevard sponsor address and 208-967-4164 telephone number, with Andrew Leese identified as an executive officer. That Oklahoma filing targeted approximately $1.4 million and was classified as Other Real Estate. The sequence—VA I, OK I and now TX 2—is more consistent with property- or geography-specific acquisition vehicles than with one commingled real-estate fund.
The operating website lines up with that state expansion. Sanctum currently lists one Abilene, Texas facility, one Stillwater, Oklahoma facility and four Radford, Virginia locations: 1715 West Main Street, 1225 West Main Street, 1003 East Main Street and 3274 Peppers Ferry Road. The geographic match between the public brand and the SEC vehicle names is strong: VA I corresponds to a market where Sanctum has multiple Radford assets; OK I corresponds to Stillwater; and TX-labelled vehicles correspond to a Texas operating footprint. Yet legal precision still matters. Similar geography is evidence of sponsor strategy, not automatic evidence that each Form D vehicle owns every listed facility in that state.
Virginia property records provide rare asset-level confirmation. City of Radford GIS records show Sanctum Storage VA I LP as the owner of property at 1715 West Main Street and additional West Main Street parcels, with the owner mailing address again at 3905 E. Ponderosa Blvd., Post Falls. Separate public-record data for 3274 Peppers Ferry Road shows a March 10, 2025 acquisition by Sanctum Storage VA I LP from Harris Rentals LLC. That dataset reports a $650,000 purchase and an associated conventional mortgage originally recorded at $4.05 million; because a single mortgage can secure multiple parcels or a broader transaction, the debt figure should not be attributed solely to that one parcel without reviewing the actual deed of trust. The key point is more basic and stronger: the same SEC issuer name appears in independent real-property records as an actual buyer and owner of storage-related real estate.
THE OPERATING TEAM IS ALSO VISIBLE OUTSIDE SEC FILINGS
Andrew Leese appears publicly in Texas Self Storage Association discussions identifying himself as "Manager | Sanctum Storage," using [email protected] and the company website. His posts discuss practical operating topics such as delinquency handling, auctions, insurance and tenant-protection programs. Mark Ameerali likewise appears in the association community in self-storage operational discussions. These are unusually useful qualitative signals because they place the principals directly inside day-to-day storage management rather than showing them only as names on fundraising documents.
A current job advertisement provides another independent operating clue. Maplequity Partners LP has advertised for an on-site resident property manager for Sanctum Storage in Stillwater, Oklahoma, describing duties that include leasing, sales, occupancy targets, property-management software, rent collection and delinquency communication. The job posting directly connects Maplequity with Sanctum Storage operations and is consistent with the ownership connection visible in Texas state records. Together, the SEC filings, property records, government construction filings, storage-industry participation and hiring materials support a vertically involved sponsor model: raise equity in project-specific LPs, own facilities through related real-estate entities, and operate under the Sanctum Storage brand.
THE IDAHO ADDRESS IS A CONTROL ADDRESS, NOT A STORAGE FACILITY
One of the most important entity-penetration findings is the role of 3905 E. Ponderosa Blvd. The SEC filings use it as the principal business address for TX 2, OK I and Maplequity; the Texas state project record uses it for the Abilene property owner; and Virginia property records use it as the owner mailing address. But independent property databases identify 3905 E. Ponderosa Blvd. as a residential property in Post Falls rather than a commercial self-storage facility. That does not invalidate its use as a sponsor or management mailing address, but it means researchers should not mistake the Idaho address for the underlying real-estate asset. The operating facilities themselves are in Texas, Oklahoma and Virginia.
This distinction helps explain the network cleanly. Maplequity appears to function as an ownership/sponsor entity, Sanctum Storage is the operating consumer-facing brand, and separate state-labelled limited partnerships are used for individual acquisitions or capital raises. Mark Ameerali and Andrew Leese recur through that network. What is not yet public is the full legal ownership chart—whether Maplequity directly owns the GP of TX 2, whether TX 2 owns property directly or through an LLC subsidiary, whether Sanctum Storage is a DBA of Maplequity or another management company, and how fees are allocated between property ownership, asset management and day-to-day operations.

INDEPENDENT ASSESSMENT
Sanctum Storage TX 2 LP has a considerably stronger operating trail than its sparse Form D suggests. The principals recur across SEC filings and industry records, Maplequity Partners can be tied through a Texas government record to an actual Sanctum property, the operating website identifies a growing three-state storage footprint, state and local records confirm property ownership and construction, and Sanctum management appears publicly in day-to-day self-storage industry discussions. The earlier Virginia and Oklahoma fundraising vehicles also support a repeat asset-specific capital-formation model.
The biggest remaining weakness is transaction transparency. TX 2 was filed before its first sale and does not identify the property receiving the equity. That prevents a research report from calculating leverage, basis per square foot, occupancy break-even, debt-service coverage or expected cash-on-cash return. The Abilene expansion is an obvious diligence lead because its timing, sponsor, people and operating brand all overlap with TX 2, but those overlaps are not enough to convert correlation into legal ownership.
That distinction is exactly where this case becomes useful for independent verification. The public evidence strongly supports that Sanctum Storage is an operating self-storage platform connected to Maplequity, Mark Ameerali and Andrew Leese; it does not yet establish that investors in TX 2 are buying equity in the Abilene facility specifically. The PPM, LP agreement, title entity, acquisition settlement statement, current rent roll, trailing operating statement, debt term sheet and property appraisal would be the decisive documents needed to complete that last layer of penetration.
Form D is a notice of an exempt securities offering and does not constitute SEC approval or endorsement of Sanctum Storage TX 2 LP, Sanctum Storage, Maplequity Partners LP, Mark Ameerali or Andrew Leese. The $1.4 million offering amount is a proposed securities raise, not proof of property value, equity value or successful fundraising.
