OFFERING DURATION: One year or less.
Those figures make the September 11 filing evidence of legal formation and planned capital raising, not evidence of completed fundraising or current AUM.
DREWSVENTURES HOLDINGS AND RED BEARD VENTURES CONNECTION
The DrewsVentures connection is one of the strongest parts of this case.
RBV Frontiers V names DrewsVentures Holdings LLC as investment manager. Earlier SEC filings for RBV Frontier AI 1, a series of Red Beard Ventures Master Syndicate, LP, identify DrewsVentures Holdings LLC as General Partner and Drew Austin Greenfeld as an executive officer and manager of the issuer.
Other Red Beard Ventures syndicated vehicles also use DrewsVentures Holdings. For example, the SEC filing for TR-1222 Fund I, a series of Red Beard Ventures Syndicates, LP identifies Drews Ventures Holdings LLC as general partner and Drew Austin Greenfeld as an executive officer.
That recurring pattern strongly supports the conclusion that DrewsVentures Holdings is the legal management entity used across portions of the Red Beard Ventures investment ecosystem.
The SEC filing for Red Beard Ventures Fund II provides further confirmation. It identifies Drew Austin Greenfeld as Managing Member of Red Beard Ventures Fund II GP LLC and uses the same 16 Railroad Place #1062, Westport, Connecticut address shown for DrewsVentures Holdings in Frontiers V.
RED BEARD VENTURES PLATFORM
Red Beard Ventures' official website describes the firm as an early-stage VC platform investing in frontier technologies and a global, digital and decentralized world. Its historical emphasis has included Web3, blockchain, crypto infrastructure, gaming and decentralized applications, while more recent public communications indicate that AI, defense and deep technology have become additional investment channels.
The firm's public portfolio page currently contains more than 100 companies and projects, including Anduril Industries, Firehawk Aerospace, Paradromics, SeaSats, Skyfire, NeuPeak, Indoor Robotics, iRocket, Venus Aerospace, Alethea AI, LayerZero Labs, Dapper Labs and numerous crypto, AI, robotics and defense-oriented companies.
That breadth demonstrates that Red Beard is not merely a legal issuer with no public investment activity.
However, none of these public portfolio companies can automatically be attributed to RBV Frontiers V.
The Frontiers V Form D does not identify its underlying asset or portfolio, and Red Beard's platform-level portfolio includes investments made across different funds, syndicates and SPVs over multiple years.
DREW AUSTIN GREENFELD
Red Beard's official website identifies Drew Austin as Founding Partner. His full SEC name appears as Drew Austin Greenfeld in numerous filings.
Red Beard's official biography states that Greenfeld spent roughly 15 years as a startup founder and entrepreneur before moving full-time into venture capital and Web3. It says he founded and sold Wade & Wendy, an AI recruiting automation company, and then created the Red Beard Ventures Syndicate.
The same biography states that the syndicate completed more than 80 venture investments and deployed more than $30 million over an approximately 15-month period at the time that biography was written. A later Red Beard "Our Story" page updated the broader ecosystem statistics to more than 100 portfolio companies, approximately $40 million deployed and more than 3,000 strategic LPs.
Those historical figures help verify investment activity but are not audited Frontiers V performance metrics.
RED BEARD FUND I AND FUND II HISTORY
Red Beard Ventures has also operated conventional pooled venture funds in addition to its syndicate and series vehicles.
SEC records show Red Beard Ventures Fund I LP under CIK 0001917745. Earlier filings identify Drew Austin Greenfeld and Red Beard Fund I GP LLC and classify the issuer as a pooled investment fund.
Red Beard Ventures Fund II LP followed later. Its 2025 Form D amendment identifies the fund as a Delaware limited partnership formed in 2024 and classifies it as a Venture Capital Fund. Drew Austin Greenfeld is named as Managing Member of the GP.
Red Beard's 2025 public newsletters also stated that Fund II was raising and would build on the firm's Web3, blockchain and DePIN history. The firm separately stated that crypto and token-facing investments would increasingly be handled through Echo, while AI, defense and deep-tech opportunities would continue through AngelList.
This provides useful strategic context for the newer "Frontier" naming convention.
RBV FRONTIERS SERIES HISTORY
Frontiers V is not the first RBV Frontiers vehicle.
SEC records show RBV Frontier II and RBV Frontiers IV earlier in 2026. Frontiers IV used the same Miami administrative address, Alternative Financial Corporation, Bryan Casey and DrewsVentures Holdings as investment manager.
The near-identical structure strongly indicates that Frontiers V belongs to a repeatable series architecture rather than representing a stand-alone management company.
Separately, RBV Frontier AI 1 was formed as a series of Red Beard Ventures Master Syndicate, LP and used DrewsVentures Holdings and Drew Austin Greenfeld directly.
That vehicle used a different master legal structure and a Warwick, New York address, illustrating that Red Beard / DrewsVentures has used more than one fund-administration architecture for deal-specific investments.
Investors should therefore distinguish:
Red Beard Ventures Fund I and Fund II.
Red Beard Ventures Syndicates.
Red Beard Ventures Master Syndicate.
RBV Frontier AI series.
RBV Frontiers II / IV / V series of a Master Series LLC.
These may share sponsor relationships without being economically interchangeable.
WHY FRONTIERS V IS CLASSIFIED AS PRIVATE EQUITY, NOT VENTURE CAPITAL
The SEC Form D classifies RBV Frontiers V as a Private Equity Fund rather than a Venture Capital Fund.
That classification is notable because Red Beard's main public brand describes itself as early-stage venture capital.
There are several possible structural reasons a sponsor might classify a transaction-specific SPV differently from its flagship VC fund. The series could hold a secondary position, later-stage private shares, a concentrated investment, a special situation or another exposure that does not fit the venture-fund category.
But the Form D does not explain why Private Equity Fund was selected.
FilingDossier therefore does not infer that Frontiers V represents a buyout or control investment simply from the SEC category.
The exact strategy should be confirmed through the series offering memorandum or subscription package.
ALTERNATIVE FINANCIAL CORPORATION
Alternative Financial Corporation appears as administrator of RBV Frontiers V, while Bryan Casey signs the Form D as Administrator of the Issuer.
This is consistent with a broader pattern seen across numerous master-series private vehicles.
The distinction matters:
DREWSVENTURES HOLDINGS = Investment manager.
ALTERNATIVE FINANCIAL CORPORATION = Administrator.
BRYAN CASEY = Officer of administrator / Form D signatory.
DREW GREENFELD = Public Red Beard founder and directly connected through other Red Beard SEC structures, but not individually listed as a related person on Frontiers V's September 11 Form D.
A common research error would be to call Bryan Casey the investment manager simply because he signed the filing. The Form D explicitly assigns that role to DrewsVentures Holdings.
TWO FORM D FILINGS ON THE SAME DAY
An unusual detail deserves disclosure.
SEC EDGAR shows two Form D New Notices for the same RBV Frontiers V CIK on September 11, 2026:
Accession No. 0002149305-26-000001 — File No. 021-597153.
Accession No. 0002149305-26-000002 — File No. 021-597158.
The substantive public fields reviewed in both filings appear effectively identical: same issuer, CIK, management entities, private-equity classification, Rule 506(b), Section 3(c)(1), $0 sold, zero investors and first sale yet to occur.
The public documents do not explain why two New Notices were submitted minutes apart under separate Form D file numbers.
This should not be portrayed as evidence of wrongdoing. Filing duplication, parallel offering identifiers or submission corrections can occur for administrative reasons.
However, because the two entries exist, researchers should preserve both filing references rather than pretending only one record exists.
$0 SOLD AND INDEFINITE OFFERING
The current Form D provides no completed fundraising evidence.
FIRST SALE: Yet to occur.
AMOUNT SOLD: $0.
INVESTORS: 0.
TOTAL OFFERING: Indefinite.
NAV: Declined to disclose.
That means headlines such as:
"RBV Frontiers V Raises $X Million"
or
"RBV Frontiers V Has $X Million AUM"
would currently be unsupported unless a later filing or manager announcement provides the number.
The correct interpretation is that a new offering had been legally established and noticed to the SEC, but the initial notice predates any reported investor sale.
$1 FORM D MINIMUM
The Form D lists a minimum outside investment of $1.
That should not be interpreted as evidence that ordinary investors can invest one dollar.
The vehicle relies on Section 3(c)(1) and Rule 506(b), and actual eligibility requirements and subscription minimums can be imposed separately through confidential offering documents.
A nominal Form D minimum is common in flexible series structures and may simply preserve sponsor discretion.
RED BEARD'S INVESTMENT STRATEGY EVOLUTION
Red Beard historically built its brand around crypto, Web3, NFTs, gaming and decentralized infrastructure.
Its official portfolio still reflects that history heavily.
Current public communications indicate a broader frontier-tech mandate that includes:
Artificial intelligence.
Defense.
Deep technology.
Robotics.
Blockchain and Web3.
DePIN.
Space and aerospace.
The firm's portfolio includes recognizable companies across these themes, such as Anduril, Firehawk Aerospace, SeaSats, Paradromics, Indoor Robotics, NeuPeak and Skyfire.
This diversification is relevant when assessing what "Frontiers" may mean at the platform level.
It does not, however, reveal Frontiers V's own investment.
PORTFOLIO SCALE VS FRONTIERS V
Red Beard's public website says the broader ecosystem has invested in more than 100 companies and deployed approximately $40 million through the syndicate.
These figures should be separated carefully:
RED BEARD ECOSYSTEM / SYNDICATE: 100+ company investments and roughly $40M historically deployed according to public manager materials.
RBV FRONTIERS V: $0 sold at initial filing.
RBV FRONTIERS V INVESTORS: 0.
RBV FRONTIERS V OFFERING: indefinite.
RBV FRONTIERS V CURRENT NAV: not disclosed.
Using Red Beard's $40M deployed metric as Frontiers V AUM would be materially misleading.
CONCENTRATION AND SPV RISK
If Frontiers V is a single-deal series, concentration is likely to be a central risk.
A diversified venture fund can spread capital across dozens of startups.
A transaction-specific series may depend on one portfolio company.
That can create exposure to:
Single-company execution risk.
Private-company valuation risk.
Illiquidity.
Future dilution.
Share-class differences.
Limited information rights.
Transfer restrictions.
Secondary-market pricing uncertainty.
Exit timing.
Under a series-SPV model, investors may also own interests in the vehicle rather than directly owning the underlying company's shares.
The public Form D does not reveal whether Frontiers V owns a direct security, another SPV interest or a secondary position.
DUE DILIGENCE QUESTIONS
Prospective investors should obtain:
RBV Frontiers V offering memorandum or investment memo.
Series operating agreement.
Subscription agreement.
Underlying company identity.
Direct versus indirect ownership.
Share or security class.
Purchase price.
Implied company valuation.
Latest financing round valuation.
Whether shares are primary or secondary.
Seller identity where relevant.
Management fee.
Administrative fee.
Carried interest.
Underlying SPV expenses.
Investment-manager economics.
Expected holding period.
Transfer restrictions.
Voting and information rights.
Tender-offer policy.
Valuation process.
Distribution mechanics.
Treatment after an IPO or acquisition.
Relationship between Frontiers V and Red Beard Fund II.
Whether other Red Beard vehicles hold the same underlying company.
Allocation and conflict-of-interest policy.
Investors should also request clarification regarding the two separate September 11 New Notices and determine which SEC File Number corresponds to their subscription documentation.
FINAL ASSESSMENT
RBV Frontiers V is a real and verifiable private-equity series vehicle.
SEC EDGAR confirms the Delaware issuer, Alternative Financial Corporation, Bryan Casey, DrewsVentures Holdings, Rule 506(b), Section 3(c)(1), private-equity classification, first sale yet to occur, $0 sold and zero investors.
The sponsor relationship is also strongly supported. DrewsVentures Holdings appears throughout Red Beard Ventures SEC structures, while Drew Austin Greenfeld is directly identified in Red Beard fund and syndicate filings. Red Beard's official website independently confirms Drew Austin as Founding Partner, a 100+ company portfolio and a long-standing frontier-technology investment platform.
The principal limitation is investment-level transparency.
The public filing does not identify what Frontiers V actually owns, how much the underlying investment is valued at, whether it is primary or secondary, or what economics investors receive.
Accordingly, FilingDossier considers RBV Frontiers V structurally and manager-level verifiable but does not attribute a specific portfolio company or investment performance to the vehicle without additional documentation.
A Form D is an exempt-offering notice. It is not SEC approval of RBV Frontiers V, DrewsVentures Holdings, Red Beard Ventures, Drew Greenfeld or any underlying investment, and it does not verify future investment returns.
