NEW VISTA SERIES STRUCTURE AND OTHER 2026 VEHICLES
OAI0826 is not an isolated use of NEW VISTA CAPITAL INVESTMENT LLC. SEC records show multiple 2026 series using the same master naming structure.
One example is ASI SC 2026, a Series of NEW VISTA CAPITAL INVESTMENT LLC, filed September 9, 2026. That vehicle was classified as a Venture Capital Fund, identified New Vista Capital Management LLC as a related person and reported approximately $1.935 million sold.
SEC records also show Uforce 2026 and UFORCE NV 2026 as series of NEW VISTA CAPITAL INVESTMENT LLC. Those vehicles use the same Claymont address and series architecture, although their filings identify Sydecar LLC in administrative roles.
Another 2026 vehicle, Singularity 2026, a Series of NEW VISTA CAPITAL INVESTMENT LLC, filed in July. This is especially notable because New Vista's official website publicly identifies Singularity as a portfolio company and reported the company's July 2026 $80 million Series A announcement.
These filings strongly support the conclusion that NEW VISTA CAPITAL INVESTMENT LLC operates as a master series platform through which New Vista can establish individual investment vehicles around specific opportunities.
However, each series is a separate issuer with its own CIK, offering amount and potentially different underlying asset. Performance or economics of one series therefore should not automatically be attributed to another.
WHAT DOES OAI0826 REPRESENT
The most important unresolved question is the underlying OAI investment.
"OAI0826" appears to function like an internal investment or deal code, potentially combining initials with a month/year convention. The Form D itself does not identify the portfolio company, asset or transaction represented by OAI.
New Vista's website contains numerous aerospace, autonomy and defense investments, but FilingDossier does not map OAI0826 to any one portfolio company solely from initials or naming similarity.
This caution is especially important because New Vista's series history demonstrates that some codes clearly correspond to named companies while others may represent co-investment sleeves, secondary purchases or internal transaction vehicles.
Investors should therefore obtain the series subscription documents or investment memorandum to establish the exact company, security class, acquisition price, financing round, valuation and ownership percentage associated with OAI0826.
PUBLIC PORTFOLIO AND DEFENSE-TECH PENETRATION
New Vista's official portfolio provides substantial evidence that the platform is actively investing in national-security and advanced-industrial technology rather than operating only as a newly formed legal structure.
Its public investment list includes Air Space Intelligence, which develops AI-powered operations software; Castelion, which develops hypersonic systems; Chariot Defense, focused on power systems for military operations; Advanced Manufacturing Company of America; Deterrence; and other advanced manufacturing and defense businesses.
Recent New Vista news also highlights Singularity's $80 million Series A, Pulse Space's $40 million Space Force contract and Traysar's emergence from stealth. These examples reinforce the firm's concentration in dual-use and defense technology.
Outside coverage provides additional corroboration of New Vista's activity. For example, New Vista was identified as an investor in Natilus' 2026 $28 million Series A alongside Draper Associates and other venture investors.
These platform-level investments help establish New Vista's operating history but do not establish that any specific listed company is the asset held by OAI0826.
$280,000 OFFERING AND FIVE INVESTORS
OAI0826 is small compared with institutional flagship funds but the Form D gives unusually complete fundraising information.
The vehicle reports a fixed $280,000 offering rather than an indefinite amount. All $280,000 had already been sold to five investors and nothing remained to be sold. The average subscription would mathematically equal approximately $56,000 if all investors contributed equally, although the filing does not disclose individual allocations and FilingDossier does not assume equal commitments.
The $0 minimum-investment field similarly does not mean the general public could invest without restriction. The offering relies on Rule 506(b) and Section 3(c)(1), and actual subscription requirements may be defined separately in the series documents.
The relatively small fund size strongly suggests OAI0826 is a focused SPV or co-investment allocation rather than a diversified flagship private-equity fund. The specific level of diversification cannot be confirmed until the underlying investment is identified.
ORGANIZATIONAL EXPENSES
The Form D contains an additional detail that should not be ignored: $7,600 of gross proceeds is estimated to be used for organizational and operating expenses.
Relative to a $280,000 offering, that amount represents approximately 2.7% of total committed capital before considering any investment-management fee, carry or other expenses that may exist outside this Form D disclosure.
That does not mean total fees equal 2.7%. Item 16 only reports the specific proceeds expected to be paid to named related persons for the described purpose. Investors should separately review formation expenses, legal costs, administration, management fees, carried interest and any transaction-specific expenses in the governing documents.
SERIES STRUCTURE, ADMINISTRATION AND SYDECAR
Several other New Vista Capital Investment series use a Claymont, Delaware administrative address and identify Sydecar LLC in their SEC filings. For example, Uforce 2026 names Sydecar LLC as administrator and Brett Sagan in an executive role.
OAI0826 itself does not list Sydecar as a related person; instead, it directly names New Vista Capital Management LLC. This distinction should be preserved. Investors should not automatically state that Sydecar administers OAI0826 simply because Sydecar appears in related New Vista series.
The common Delaware address does, however, reinforce that the New Vista series vehicles use standardized fund/SPV infrastructure. Prospective investors should verify the exact administrator, banking structure and recordkeeper applicable to OAI0826 specifically.
RISKS AND DILIGENCE QUESTIONS
The primary investment risk is likely concentration. A $280,000 series vehicle is much more likely to represent a single investment or narrow co-investment than a diversified portfolio, although the Form D itself does not conclusively establish this.
Investors should request the exact underlying asset name, security type, acquisition price, implied valuation, financing round, ownership percentage, lead investor, liquidation preference, dilution protections, information rights, expected holding period and exit mechanics.
They should also determine whether New Vista Capital Management receives a management fee or carried interest, whether $7,600 represents all organizational costs or only a portion, and whether investors bear additional administration, legal or transaction fees.
Because OAI0826 is one of numerous New Vista series vehicles, allocation policy is another important issue. Investors should understand how opportunities are allocated among New Vista flagship funds, series SPVs, co-investment vehicles, affiliates and management personnel.

FINAL ASSESSMENT
OAI0826 is a highly verifiable small New Vista Capital private investment vehicle. SEC EDGAR confirms the Delaware series, New Vista Capital Management relationship, Kirsten Touw signature, Rule 506(b), Section 3(c)(1), private-equity classification and completed $280,000 offering to five investors.
The broader New Vista platform also has substantial independent substance. Its official website presents a deep aerospace, defense and national-security investment team, a public portfolio of advanced-technology companies and a clearly articulated AI, space, reindustrialization and defense thesis. New Vista Capital Management is independently identifiable as an exempt reporting adviser.
The main limitation is transaction transparency. The public Form D does not explain what "OAI0826" owns. FilingDossier therefore does not infer that it represents OpenAI, Air Space Intelligence or any other company merely from the initials.
For investors, the critical next step is not proving whether the issuer exists—that is straightforward—but obtaining the series-level documentation that identifies the underlying investment, valuation, security rights, fees and allocation mechanics.
