INDEPENDENT VERDICT
L&R Asia Credit Alpha Fund is a good example of why a Form D amount should not be mistaken for total hedge-fund assets. Its September 14, 2026 amendment still reports exactly $6.31 million sold to one investor, a $5 million minimum, Rule 506(b), an indefinite offering amount and no placement-agent compensation—the same $6.31 million total reported in 2022, 2024 and 2025. Taken alone, that could make L&R look like a small six-million-dollar hedge fund. The wider evidence shows something more complex. Cayman Islands Monetary Authority records identify three coordinated vehicles registered on February 23, 2021: L&R Asia Credit Alpha Fund, L&R Asia Credit Alpha US Feeder Fund and L&R Asia Credit Alpha Master Fund SPC. Bloomberg LEI data further identifies the Fund as a feeder of the Master Fund and L&R Capital Limited as fund manager. An SEC-filed institutional portfolio report from UBS's A&Q Multi-Strategy Fund independently showed an $8.86 million fair-value position in L&R Asia Credit Alpha Fund as of March 31, 2023—already larger than the entire $6.31 million shown in L&R's U.S. Form D. The defensible interpretation is therefore that the Form D captures only securities sold within the specific U.S. exempt offering, not the economic size of the complete L&R master-feeder complex.
The latest SEC filing is unusually static. L&R Asia Credit Alpha Fund, CIK 0001860392 and SEC File No. 021-464138, is a Cayman exempted company with a March 1, 2021 first sale. Its initial November 2022 Form D disclosed $6.31 million sold; amendments filed October 4, 2024, October 10, 2025 and September 14, 2026 all continue to report exactly $6.31 million and one investor. The current filing carries a $5 million minimum, no broker or dealer, $0 commissions, $0 finder fees and $0 of proceeds earmarked for the named executive. One field deserves special attention: the filing says the offering is not intended to last more than one year even though the stated first sale occurred in 2021 and annual amendments continued through 2026. That is a filing-field inconsistency, not evidence that sales occurred every year. A second change appears in personnel: 2024 named Allan Bedwick as the related executive, whereas the 2026 amendment names Steve Or as Co-Chief Operating Officer. The offering economics, however, did not move at all.
The Cayman evidence resolves much of the apparent size puzzle. CIMA's official mutual-fund register lists L&R Asia Credit Alpha Fund as a registered mutual fund, L&R Asia Credit Alpha Master Fund SPC as a Master Fund and L&R Asia Credit Alpha US Feeder Fund as a separate registered fund, all effective February 23, 2021. The Master Fund's current LEI, 254900H4AGXU5TKQSX14, identifies it as an active Cayman segregated portfolio company and records its headquarters through L&R Capital Limited at Level 26, One Chinachem Central, 22 Des Voeux Road Central, Hong Kong. LEI relationship data explicitly names L&R Capital Limited as fund manager and L&R Asia Credit Alpha Fund as a feeder fund. The same LEI history preserves an earlier legal name, L&R Investments Segregated Portfolio Company. These are much stronger structural signals than simply inferring a master-feeder setup from matching names. What remains unclear from public records is precisely how capital is allocated between the main feeder, the U.S. feeder and individual segregated portfolios of the master.
Independent institutional evidence goes further. UBS Hedge Fund Solutions' A&Q Multi-Strategy Fund disclosed L&R Asia Credit Alpha Fund in its SEC-filed March 31, 2023 portfolio schedule under the Credit/Income category with a Mainland China geographic focus. A&Q reported a cost basis of $10.354 million and fair value of $8.859 million, representing 2.17% of its net assets. It recorded an initial acquisition date of November 1, 2021, quarterly redemption availability, a 60-day notice period and a first available redemption date of December 31, 2024; the related footnote said the position was under lock-up and could not be redeemed without paying a fee. That disclosure is important for two reasons. First, it independently verifies that a sophisticated external fund-of-funds allocated material capital to L&R rather than merely appearing in marketing material. Second, the position's reported fair value was roughly $1.50 million below cost at that reporting date, about 14.4% lower, although that single investor-level mark must not be presented as the overall fund's investment return because subscription timing, share classes, fees and subsequent performance can differ.
The investment strategy can also be verified beyond branding. L&R Capital describes itself as a Pan-Asia credit long/short manager founded in 2017, headquartered in Hong Kong with a Shanghai research office, combining fundamental credit research, active trading, specialized execution and proprietary risk management. Founder and CIO Ran Li's official biography says she previously managed portfolios at Nomura Global Capital Markets from 2008 to 2017, worked in Lehman Brothers' Global Opportunities Group and earlier at Fore Research & Management. The current team publicly identifies separate high-yield and investment-grade portfolio-management functions. This is consistent with external holdings evidence: Jiangsu Cnano Technology's 2024 annual report listed "L&R CAPITAL LIMITED – L&R Asia Credit Alpha Master Fund SPC" among significant holders of its convertible bond, with RMB 23.846 million outstanding, representing 2.87% of that bond issue at year-end. That disclosure provides rare issuer-level evidence of the Master Fund actually holding an Asian credit instrument and makes the stated Asia-credit strategy considerably more verifiable than a generic hedge-fund description.
The manager itself has a multilayer regulatory footprint. U.S. IAPD identifies L&R Capital Limited as CRD 312700 / SEC file 802-120839, filing as an active Exempt Reporting Adviser since March 17, 2021 rather than as a fully SEC-registered investment adviser. In Hong Kong, L&R Capital Limited, Chinese name 析理資本有限公司, CE BIX975, is licensed for Type 4 Advising on Securities and Type 9 Asset Management; current public-register data also identifies Ran Li as a responsible officer for both activities. The entity's LEI record shows that the Hong Kong company itself dates to 2010 and preserves earlier legal names Greater China Financial Service Limited and ROMO China Opportunities Investment Limited, even though L&R states that the current investment-management business was founded in 2017. That distinction matters: legal-entity age is not the same thing as strategy track-record length.

L&R Asia Credit Alpha Fund has an unusually strong cross-jurisdiction verification trail for a fund whose U.S. Form D shows only one investor. SEC filings confirm the U.S. private offering; CIMA confirms the feeder/master complex; LEI records independently map the Fund to the Master Fund and L&R Capital; U.S. IAPD verifies the manager's exempt-reporting-adviser status; Hong Kong licensing records verify its Type 4 and Type 9 investment-management permissions; an SEC-filed UBS fund-of-funds report independently verifies a material institutional allocation; and a Chinese public-company annual report provides direct evidence of an Asia Credit Alpha Master Fund bond position.
The most misleading number in the entire case is therefore also the easiest to find: $6.31 million. It has remained unchanged in every U.S. Form D from 2022 through 2026, yet independent evidence demonstrates exposures and structures that cannot reasonably be understood by treating that figure as total fund assets. The $6.31 million should be described precisely as the amount reported sold in this particular Regulation D offering.
Two other details deserve continued monitoring. The latest Form D says the offering is not expected to last more than one year even though the first sale dates to March 2021 and amendments continue through September 2026, and the named related executive has changed from Allan Bedwick to Steve Or while the capital figures remain identical. Neither point proves a compliance problem, but both are entity-specific filing details worth preserving rather than smoothing over.
The strongest unresolved diligence questions are now investment-level rather than identity-level: current master-fund NAV, long/short exposure, leverage, country and sector concentration, current redemption restrictions, administrator, auditor, prime brokers and fee structure. L&R's existence, manager identity, master-feeder architecture and actual Asia-credit investment activity can be independently verified; current portfolio economics remain substantially private.
