Precision Capital Advisors, LLC appears directly in the Form D only through the management-fee disclosure. Because the filing says customary management fees will be paid to that entity, its role should be reviewed carefully in the offering documents. Investors should determine whether Precision Capital Advisors is the investment manager, management company, an affiliate performing advisory functions or a fee-receiving entity within a broader Andalusian organizational structure.
PRIVATE EQUITY STRATEGY AND BROADER ANDALUSIAN MODEL
The specific Form D does not disclose individual portfolio companies, industry allocations or deal terms for Fund II DF Offshore. The issuer selects the general Private Equity Fund classification rather than a narrower strategy label. Public Andalusian materials, however, describe the private-capital platform as pursuing private equity and co-investments alongside credit and advisory activities.
The firm's integrated model may provide sourcing advantages because advisory, credit and equity teams can encounter opportunities across different points of the capital structure. Andalusian emphasizes flexible and creative financing solutions and says its leadership team has experience at major alternative-asset firms. That can be relevant to evaluating sourcing and underwriting infrastructure, but it is sponsor-level context rather than a substitute for Fund II-specific investment guidelines.
Andalusian's credit affiliate separately describes a senior-secured direct-lending strategy across both sponsor-backed and non-sponsored transactions, including sports, media, entertainment and financial services. That information confirms broader sector and underwriting expertise within the platform, but those credit strategies should not be presented as holdings or mandates of Fund II DF Offshore unless specific fund documents say so.
FIRST SALE, $0 SOLD AND THE $1 MINIMUM
The timing of the new filing is especially important. As of September 18, 2026, the issuer checked "First Sale Yet to Occur," reported $0 sold and zero investors, and used an indefinite total offering amount. This means the filing is primarily evidence of legal formation and planned fundraising rather than evidence of a completed capital raise.
The $1 minimum investment entered in Item 11 should also be interpreted narrowly. It is a Form D field and does not establish that an outside investor can practically subscribe with only $1. A Section 3(c)(7) fund normally operates within qualified-purchaser constraints and can impose materially higher commitments under its partnership and subscription documents.
For FilingDossier purposes, the correct numerical presentation is therefore: $2.8 billion-plus in broader Andalusian commitments at platform level; $0 sold by Fund II DF Offshore at the initial September 18 filing; and a nominal $1 Form D minimum that should not be confused with real-world investor eligibility or final commitment requirements.
WEBSITE AND ENTITY PENETRATION
The website-to-fund relationship is stronger than with many newly created Form D issuers. Andalusian's official site uses the Andalusian brand, identifies its private-capital and credit businesses, discloses SEC adviser registration and describes a long-term institutional investment platform. The new fund's name, Greenwich address and management identities align with the existing Fund II filing family in EDGAR.
At the same time, the public website does not appear to provide a dedicated page for Fund II DF Offshore or publish its CIK 0002155474 as a consumer-facing credential. That is not unusual for a private-equity fund. Investors should rely on the executed subscription documents and fund governing agreements to verify the exact legal vehicle rather than using the public website alone.
A further distinction is important: Andalusian Private Capital, Andalusian Credit Partners, Andalusian Sports Advisors, Andalusian Partners Fund II vehicles and Precision Capital Advisors are related names within a broader ecosystem but should not be collapsed into one legal entity. The firm's own website notes, for example, that Andalusian Sports Advisors uses broker-dealer services through Pickwick Capital Partners and that the two are not affiliated entities.
RISKS, DILIGENCE QUESTIONS AND FINAL ASSESSMENT
The biggest public-information limitation is that the new Form D reveals almost nothing about Fund II DF Offshore's actual portfolio construction. Investors cannot determine from the filing alone which companies will be acquired, whether the vehicle is diversified or concentrated, how much leverage may be used, what sectors are targeted, what the expected holding period is or how offshore investors differ economically from other Fund II participants.
Prospective investors should request the limited partnership agreement, private placement memorandum, subscription agreement, Fund II strategy memorandum, target size, hard cap, GP commitment, management-fee schedule, carried interest, preferred return if applicable, recycling rights, co-investment policy, investment-period limits, portfolio concentration limits, leverage policy and valuation procedures.
Particular attention should be paid to the relationship among Andalusian Partners GP, Andalusian Partners II GP, Precision Capital Advisors and Andalusian Private Capital. The public filings demonstrate overlap, but the precise allocation of investment discretion, management fees and governance rights should be established from contractual documents.
Investors should also determine why the new vehicle is styled "DF Offshore" and how it differs from the pre-existing APF II Offshore Committed Series. Possible differences could relate to tax structuring, discretionary versus committed capital, offshore investor eligibility or portfolio allocation, but the SEC filings reviewed do not provide enough information to state the answer confidently.
From a verification perspective, the evidence is strong. Fund II DF Offshore is a real Delaware issuer in EDGAR, its GP and senior controlling individuals are named, the sponsor has an SEC-registered adviser, and the broader Andalusian platform reports more than $2.8 billion in commitments across affiliate businesses. The Fund II series history also provides continuity across multiple related entities.
The primary limitation is fund-level transparency at launch. As of September 18, the new vehicle had not completed its first sale, reported no investors and had no disclosed fund-level NAV or portfolio. Accordingly, FilingDossier considers the sponsor and legal structure highly verifiable while treating Fund II DF Offshore's actual size, holdings, valuation and performance as unestablished from the initial public filing.
A Form D is an exempt-offering notice. It is not SEC approval, a verification of future performance or an endorsement of Andalusian Partners, Andalusian Private Capital, Precision Capital Advisors, Todd Kesselman, Gina LaVersa or any related fund.
