INDEPENDENT VERDICT

IV Series 31A is more revealing as evidence of how Ineffable Ventures builds private-company access vehicles than as evidence of a large new fundraising event. The July 15, 2026 Form D reports an indefinite Rule 506(b) offering, Section 3(c)(1), $0 sold, zero investors and no first sale yet. The vehicle is a Delaware LLC series based at 1266 East Main Street, Suite 700R in Stamford, Connecticut, and Jared Kasner is the sole named related person, described specifically as "Manager of the Manager of the Issuer." The Form D also discloses that the manager or a manager affiliate is entitled to receive a prepaid management fee calculated as a percentage of contributed capital, although the percentage cannot yet be determined from the filing. The defining feature is therefore not capital already raised but legal architecture: Series 31A is one of a rapidly expanding sequence of coded Ineffable series that followed an earlier generation of SPVs whose names openly identified companies such as Groq, xAI, Anthropic, Leal and Dimmo.

THE BIGGEST STRUCTURAL CHANGE IS FROM TRANSPARENT COMPANY-NAMED SPVS TO OPAQUE SERIES CODES

This is a meaningful evolution in disclosure visibility. With a company-named SPV, the investment hypothesis can often be inferred directly from the issuer's legal name. With Series 31A, the Form D no longer provides that clue. THE OFFICIAL PORTFOLIO MAKES THE AI AND DEEP-TECH STRATEGY REAL, BUT IT DOES NOT IDENTIFY SERIES 31A

Ineffable's official website describes the firm as investing from early stage through pre-IPO technology companies and publicly lists a portfolio that includes OpenAI, Groq, Positron AI, Parasail, Erebor Bank, Fluidstack, North, Exowatt, Quamcore, Tensordyne, Actasys, Leal Health, Doti AI, TimeOS, Flowfi and other U.S. and Israeli companies. Its public company profile separately describes a pre-seed and seed focus in Israel and the United States, while the main website uses the broader early-stage-to-pre-IPO description. The investment pattern is therefore wider than a traditional single-vintage seed fund: Ineffable appears willing to create company-specific access vehicles across AI models, inference hardware, data-center infrastructure, energy for compute, enterprise software, health technology and Israeli startup opportunities. Official portfolio evidence strongly supports the operating investment thesis, but it still cannot be used to assign any one company to coded Series 31A without a subscription document, manager notice or asset-level disclosure.

THE OLDER GROQ, XAI AND ANTHROPIC FILINGS ARE THE STRONGEST PROOF THAT THE SERIES PLATFORM CAN BE USED FOR SINGLE-COMPANY EXPOSURE

SEC records provide direct evidence that Ineffable has repeatedly formed distinct entities around private technology companies. Ineffable Ventures Groq LLC was organized in 2024 from the same Stamford address with Jared Kasner as Manager of the Manager; Ineffable Ventures xAI LLC was also created as a separate 2024 Delaware vehicle; Series Anthropic IVS was filed in December 2024 inside Ineffable Ventures Series LLC; and named vehicles for Leal, Dimmo, Doti, CargoSeer and Cyvore used substantially the same operating infrastructure. In the xAI filing ecosystem, public SEC-derived data later showed approximately $332,600 sold to 10 investors, while Groq's initial Form D showed $0 sold at launch. These examples demonstrate that a $0 initial filing does not necessarily mean the series never raises capital: it can represent a vehicle created before investor subscriptions close. Series 31A should therefore be tracked for amendments rather than treated as a failed raise merely because its initial notice showed no sales.

Earlier company-specific Form Ds provide an additional legal bridge: for example, Ineffable Ventures Leal LLC directly lists INEFFABLE VENTURES LLC as an executive officer, director and promoter alongside Jared Kasner. The official venture platform connected to Jared Kasner, the SEC filings and the portfolio discussed here uses ineffableventures.vc and publishes Jared Kasner as Founder & General Partner. A separate site at ineffable-ventures.com presents itself as a private investment group trading stocks, futures, apps, web projects and AI. FilingDossier found no evidence in the reviewed SEC or IAPD records establishing that this hyphenated .com website is the same organization as Jared Kasner's Ineffable Ventures. That distinction is material for entity penetration because name collisions can cause investors or search engines to combine unrelated business claims. FINAL ASSESSMENT

Ineffable Ventures Series 31A has a stronger research story than its $0 Form D would initially suggest. At least eight facts are uniquely relevant: it is a new 2026 coded series; it had no first sale at filing; it uses the same Stamford infrastructure as dozens of prior Ineffable vehicles; Jared Kasner controls the manager chain; the filing explicitly permits a prepaid management fee; Ineffable Ventures LLC has CRD 329300 and Connecticut ERA status; earlier SEC vehicles explicitly named Groq, xAI and Anthropic; and Ineffable's official portfolio currently includes OpenAI, Groq, Fluidstack, Exowatt and numerous other AI/deep-tech companies. The core diligence issue is asset identification. The fund architecture strongly suggests that Series 31A may be a transaction-specific access vehicle, but unlike the earlier named SPVs, its code does not reveal what security it will own.
