Hidden Lake Offshore Fund Reported $2.40 Million as Its Japan Master-Feeder Was Wound Up and the Manager Ran a $332 Million Options-Heavy 13F Book

INDEPENDENT VERDICT

Hidden Lake Offshore Fund Ltd. is the Cayman feeder in a longer-running Hidden Lake hedge-fund architecture rather than a standalone $2.4 million investment business. Its September 18, 2026 Form D/A reports an indefinite Rule 506(b) offering, $2,402,491 sold to six investors, a $100,000 minimum and a May 1, 2020 first sale. The filing identifies Hidden Lake Asset Management LP as Investment Manager and states that the manager receives customary management fees. John Morelli, Brad Cowdroy and Julie O'Hara appear as directors. The critical context comes from outside the Form D: Hidden Lake Asset Management is an SEC-registered adviser under CRD 298209 / SEC 801-115096, continues to file a large and actively changing 13F portfolio, and separately maintained domestic, offshore, master, SPV and Japan-specific vehicles. The $2.40 million offshore Form D amount therefore should not be interpreted as Hidden Lake's total strategy size.

THE MOST DISTINCTIVE 2026 DEVELOPMENT IS THAT HIDDEN LAKE CLOSED ITS JAPAN-SPECIFIC MASTER/OFFSHORE STRUCTURE WHILE THE CORE HIDDEN LAKE PLATFORM REMAINED ACTIVE

Hidden Lake's regulatory architecture had expanded beyond the core Onshore Fund, Offshore Fund and Master Fund to include Hidden Lake Japan Master Fund Ltd., Hidden Lake Japan Offshore Fund Ltd. and Hidden Lake Japan Onshore Fund LP. Form ADV materials explicitly described the Japan Master as a master fund with the Japan Offshore and Japan Onshore vehicles as feeders. Cayman government notices then show that Hidden Lake Japan Master Fund Ltd. and Hidden Lake Japan Japan Offshore Fund Ltd. were placed into voluntary liquidation on January 12, 2026, with Walkers Liquidations Limited appointed as voluntary liquidator. This is a significant fund-architecture event: it demonstrates an actual strategy or vehicle rationalization during 2026 rather than a theoretical stale registration. It should not, however, be interpreted as liquidation of Hidden Lake Asset Management or the main Hidden Lake funds; both the core Offshore Fund and Onshore Fund filed new Form D amendments on September 18, 2026, and the manager continued SEC and 13F reporting.

THE MANAGER'S 13F MAKES THE STRATEGY LOOK FAR MORE DERIVATIVES- AND MACRO-ORIENTED THAN A SIMPLE STOCK-PICKING FUND

Hidden Lake Asset Management's Q2 2026 13F reported 24 holdings entries with approximately $332.21 million of reported value. The largest disclosed exposures included put options on iShares semiconductor-related exposure, put options on the Nasdaq-100/QQQ complex, call exposure to KraneShares China Internet, AMD common stock and both call/put structures on Treasury ETFs. Earlier quarters looked materially different: Q1 2026 prominently included IWM puts, Microsoft calls, Zoom calls and Treasury calls, while Q4 2025 included SPY puts, Amazon, Sea Ltd. and Nvidia. This quarter-to-quarter rotation is important because it indicates Hidden Lake's public-book footprint can shift rapidly across equity indices, rates, China internet, semiconductors and individual technology names. A 13F still reveals only certain long securities and listed option positions; it does not show the complete short book, swap exposure, cash, futures or the fund's actual net exposure.

THE CAPITAL NUMBERS REQUIRE PARTICULARLY CAREFUL SEPARATION

Three separate figures can easily be confused. The Offshore Fund's latest Form D reports only $2.402 million of cumulative securities sold to six investors. Hidden Lake Asset Management's latest 2026 ADV-derived regulatory profile reports approximately $378 million of regulatory assets under management across five accounts. Separately, its Q2 2026 13F reported approximately $332.2 million of reportable securities. None of these figures is interchangeable. Form D measures securities sold by one issuer; ADV RAUM measures assets managed across the adviser's client/fund platform under regulatory definitions; and 13F measures certain reportable long securities and option positions. The fact that the 13F value is vastly larger than the offshore feeder's Form D sales is therefore not an inconsistency by itself — it is evidence that the Offshore Fund represents only one slice of a broader master-feeder/SPV structure.

THE MANAGEMENT CHAIN ALSO CHANGED ENOUGH TO WARRANT ATTENTION

Older Hidden Lake filings were signed by Kevin Mok, including the 2022 Onshore Fund amendment, while the current 2026 Offshore Fund amendment is signed by John Morelli, who is also listed as Hidden Lake Asset Management's CCO and COO in the latest 13F reporting. Earlier Offshore Fund filings named Keith Brenner as a director, whereas the 2026 filing instead lists John Morelli alongside Cayman directors Brad Cowdroy and Julie O'Hara. Personnel changes do not by themselves imply a change in investment ownership or strategy, but the regulatory record shows that Hidden Lake's visible governance has evolved while the fund complex continued operating. That makes current Form ADV, offering documents and investor letters more useful than relying on older manager-profile databases alone.

FINAL ASSESSMENT

Hidden Lake's strongest research story is the combination of fund rationalization and an actively traded derivatives-heavy public book. The core Offshore Fund remains active and filed again in September 2026; the related Onshore Fund filed the same day; Hidden Lake Asset Management remains SEC registered; the Q2 13F disclosed roughly $332 million across 24 entries; and the separate Japan Master and Japan Offshore structures entered voluntary liquidation in January 2026. These facts make the platform substantially more informative than a simple $2.4 million Form D would suggest. The next diligence layer is to determine current master-fund NAV, how much capital originates from the domestic feeder versus offshore feeder and SPVs, why the Japan structure was terminated, and what the manager's actual gross/net exposure looks like after accounting for options, shorts and other instruments omitted from 13F.

IMPORTANT FORM D NOTICE

Hidden Lake Offshore Fund Ltd.'s September 18, 2026 Form D/A reports $2,402,491 of cumulative securities sales to six investors. That number is specific to the offshore issuer and is not Hidden Lake Asset Management's total AUM, the current NAV of Hidden Lake Master Fund or the value of the manager's Form 13F holdings. Hidden Lake's approximately $332.2 million Q2 2026 13F figure reflects certain reportable securities and option positions and does not reveal the complete hedge-fund portfolio, shorts, leverage or net exposure. The 2026 voluntary liquidation of Hidden Lake's Japan-specific master and offshore companies does not establish liquidation of the core Hidden Lake funds. SEC adviser registration, Form D filings and 13F reporting are regulatory disclosures and do not constitute SEC approval or endorsement.

Important Form D notice: A Form D filing is a notice filing for an exempt securities offering. It does not mean that the U.S. Securities and Exchange Commission has approved, licensed, endorsed, or verified the issuer or the offering.
