EGV Nitrate SEC Review: The Sponsor Is Verifiable, but the Fund Has No Investors and No Publicly Identified Asset

THE FORM D CREATES A REAL VEHICLE, BUT IT DOES NOT YET SHOW AN OPERATING INVESTMENT

EGV Nitrate, a Series of A Master Series, LLC filed its initial Form D on October 6, 2026 as a Delaware private-equity fund relying on Rule 506(b) and Section 3(c)(7). The filing reports an indefinite offering, $0 sold, zero investors and no first sale, while listing a nominal $1 minimum investment. Endurance Global Ventures LP is expressly identified as the investment manager, with Alternative Financial Corporation serving as administrator and Bryan Casey appearing as an officer of that administrator. Those relationships make the legal chain substantially easier to verify than an anonymous Series issuer. But the filing stops before the one fact that matters most: it does not say what "Nitrate" represents. No portfolio company, share class, financing round, secondary seller, valuation, purchase price or target position is disclosed. FilingDossier found no primary source reliably decoding the name, so it would be inappropriate to infer that Nitrate refers to OpenAI, Anthropic, xAI, Neuralink or another recognizable late-stage company simply because Endurance markets itself around high-growth technology. As of October 6, the SEC record therefore proves that the fund structure exists, but not that an asset has been acquired or that an outside investor has committed capital. The Form D itself also cautions that the SEC has not necessarily reviewed the information for accuracy or completeness.

ENDURANCE HAS A REAL REGULATORY FOOTPRINT — BUT THAT FOOTPRINT IS EXTREMELY NEW

Endurance Global Ventures is no longer merely an unregistered investment brand. Regulatory data identify Endurance Global Ventures LP as an active Exempt Reporting Adviser under CRD 343236 and SEC file 802-137299, with its first recorded Form ADV filing dated August 14, 2026. The adviser relies on the private-fund-adviser exemption rather than full SEC investment-adviser registration, so it should not be described as an SEC-registered RIA. Its principal regulatory location is Rio de Janeiro, while the Nitrate Series uses Alternative Financial's Miami administration address. Endurance's public site describes a strategy focused on high-growth, late-stage U.S. technology companies, and recent public event materials associated with the firm describe exposure to major AI-era companies including Anthropic, OpenAI, xAI and Neuralink. Those names make the strategy commercially attractive, but they do not establish that Nitrate owns any of them, nor do they reveal the valuation at which EGV obtained access. The timing also matters: the manager's formal U.S. ERA record is only weeks old relative to this Form D. That does not imply a lack of prior investing experience, but it does mean investors cannot rely on a long U.S. adviser-filing history to reconstruct years of fund-level assets, service providers, audited results or conflicts disclosures. The manager is verifiable; the regulatory history available to investors is still shallow.

NITRATE IS PART OF A RAPIDLY EXPANDING SERIES OF CODED EGV VEHICLES, WHICH MAKES ALLOCATION AND ENTRY PRICE CRITICAL

Nitrate is not EGV's first A Master Series vehicle. SEC records already show EGV Project Aether II, EGV VIII Torus, EGV VIII Forensis II and EGV Flash, among other vehicles, using the same Alternative Financial administration framework. Several of these filings also reported indefinite offerings and no first sale when initially submitted. That pattern strongly suggests Endurance is using repeatable Series infrastructure to create transaction-specific or highly concentrated private-market vehicles as opportunities arise. This can be efficient for late-stage secondaries because one SPV can isolate one security and one investor group, but it also fragments economics across many legal entities. Investors need to know whether several EGV vehicles can own the same company, whether one vehicle is offered earlier at a lower valuation, how scarce allocations are distributed, whether the manager or affiliates invest alongside LPs, and whether each Series bears separate formation, administration, tax and legal costs. The Alternative Financial relationship also needs to be understood correctly: SEC filings across many unrelated sponsors identify Alternative Financial Corporation as administrator of A Master Series vehicles, meaning the common Miami address and Bryan Casey signature demonstrate reusable fund infrastructure—not independent validation of Endurance's investment thesis. Nitrate investors should therefore distinguish administrator, investment manager and underlying security issuer rather than treating the A Master Series framework as one integrated investment firm.

FINAL RISK ASSESSMENT — THE BIGGEST QUESTION IS NOT WHETHER EGV EXISTS, BUT WHAT ASSET NITRATE WILL BUY AND AT WHAT PRICE

EGV Nitrate has meaningful legitimacy signals: its SEC filing is genuine, Endurance Global Ventures LP is specifically identified as investment manager, Endurance now has an active ERA record, and Alternative Financial's administrative role is consistent with numerous other A Master Series structures. FilingDossier found no evidence in the reviewed sources establishing that Nitrate is fraudulent. The negative case instead lies in asset opacity, a very new regulatory history and potential multi-vehicle conflicts. The issuer currently has $0 sold, zero investors and no first sale; the Nitrate code does not publicly identify its target investment; no Nitrate-specific detailed private-fund disclosure was found in the latest imported ADV data; and EGV is simultaneously creating multiple coded Series that may compete for scarce late-stage allocations. This matters especially in pre-IPO and AI secondaries, where access to a prestigious company does not automatically mean an attractive investment: common-versus-preferred rights, liquidation preference, transfer restrictions, seller discount, SPV expenses and the underlying company's latest valuation can materially change expected return. Investors should obtain Nitrate's exact portfolio-company legal name, purchase agreement, share class, effective valuation, transfer or ROFR approval, complete administration and carry waterfall, confirmation of custody or ownership, EGV's allocation policy across parallel Series and evidence of realized—not merely marked—performance from prior vehicles. Our assessment is therefore a real late-stage investment manager using a credible Series platform, but a newly filed fund whose most important variables—the underlying company, security and entry price—remain completely outside the public Form D.
