Cornerstone Summit Fund Raised $500,000 Without Naming Its Strategy — SEC Review of the Solaija Brothers, Arrant Address Link and a New Texas 506(c) Fund

INDEPENDENT VERDICT

Cornerstone Summit Fund, LLC presents almost the reverse diligence profile of an established investment manager with extensive fund disclosures: the SEC offering itself is easy to verify, but the investment strategy behind it remains unusually opaque. The Texas LLC was organized in 2025 and filed a new Rule 506(c) offering after a July 31, 2026 first sale. The filing reports $500,000 sold, an indefinite total offering amount and a $50,000 minimum investment. It classifies the issuer as a pooled investment fund, relies on Section 3(c)(1), and names brothers Usman Jamal Solaija and Umair Jamal Solaija as executive officers. Usman Solaija signed as Manager. What the filing does not provide is equally important: there is no separately named investment adviser, no GP entity, no broker-dealer, no disclosed investment thesis, no portfolio description and no investor count in the reviewed public filing. Cornerstone Summit therefore has a confirmed securities-offering footprint but not yet a publicly documented investment identity comparable with mature private-fund managers.

THE ADDRESS, PEOPLE AND ARRANT BUSINESSES CREATE THE STRONGEST NON-SEC RESEARCH LEAD

The most distinctive evidence is 1517 FM 359 Road, Suite 400 in Richmond, Texas. Cornerstone Summit uses that address for both the issuer and its two executive officers. Umair Solaija's public professional profile independently places his Arrant Services work at exactly 1517 FM 359, Suite 400, Richmond, Texas, while Usman Solaija publicly identifies himself with Arrant Ventures and describes his role as General Partner and Development Principal for commercial real-estate projects. Umair's public activity is heavily tied to Arrant Construction, Arrant Services, property management and commercial construction, and BBB records separately identify Umair J. Solaija as owner of Arrant Construction. Those overlaps are much stronger than a coincidental surname: the SEC fund and the Arrant operating ecosystem share executives, geography and an exact office address. But FilingDossier found no primary fund document saying Cornerstone Summit Fund is owned, advised or sponsored by Arrant Ventures, Arrant Construction or Arrant Services. The relationship should therefore be described as a strong operating-personnel link, not a confirmed legal ownership chain.

THE 506(c) CHOICE MAKES THE ABSENCE OF PUBLIC STRATEGY INFORMATION MORE NOTICEABLE

Cornerstone Summit chose Rule 506(c), which allows general solicitation subject to accredited-investor verification requirements, rather than Rule 506(b). Yet despite using the exemption designed to permit broader solicitation, FilingDossier did not identify a dedicated public website describing Cornerstone Summit's mandate, subscription process or current portfolio. The filing reports no sales-compensation recipient and no associated broker-dealer. It also describes the offering as expected to continue for more than one year and leaves the maximum raise indefinite. Those facts suggest an ongoing capital vehicle rather than a one-off $500,000 SPV, but the SEC filing does not say whether the fund targets commercial real estate, development projects, private companies, credit or another asset class. Usman Solaija's Arrant Ventures background in commercial real estate makes real estate a logical diligence lead, but it is not sufficient evidence to classify Cornerstone Summit itself as a real-estate fund.

THE $500,000 SOLD FIGURE ALSO HAS TO BE KEPT IN PROPORTION

Unlike funds that disclose a fixed $50 million or $100 million target, Cornerstone Summit reports an indefinite offering amount. That means the $500,000 sold figure cannot be converted into a meaningful "percent raised" because there is no stated fundraising ceiling. The filing also does not disclose an investor count in the reviewed public data. With a $50,000 minimum, the $500,000 could theoretically represent a small number of subscriptions, but the actual number cannot be reconstructed reliably from the minimum because investors can invest above it. More importantly, $500,000 of securities sold tells readers nothing about current NAV, asset value, leverage or the size of any underlying property or business investment. For a fund with limited public strategy information, those distinctions matter more than producing an artificial fundraising percentage.

FINAL ASSESSMENT

Cornerstone Summit Fund is identifiable through five unusually specific facts: it is a 2025 Texas LLC that began selling interests July 31, 2026; it has reported $500,000 sold under an indefinite Rule 506(c) offering; Usman and Umair Solaija are the two disclosed executive officers; its exact Richmond address is independently associated with Umair Solaija's Arrant Services activities; and Usman publicly describes himself as a General Partner and commercial-real-estate Development Principal at Arrant Ventures. Those facts establish a credible operating-personnel ecosystem around the issuer, but they do not establish what Cornerstone Summit owns. That missing portfolio identity is the central diligence issue. Before attributing Arrant Ventures projects, construction assets or real-estate transactions to the fund, investors would need the operating agreement, PPM, asset schedule and documents identifying the manager, investment mandate and actual use of the first $500,000 of subscriptions.

IMPORTANT FORM D NOTICE

Cornerstone Summit Fund's Form D confirms an exempt pooled-investment offering and $500,000 of reported securities sales. It does not disclose the fund's underlying assets or establish a legal affiliation with Arrant Ventures, Arrant Construction or Arrant Services. The shared address, Solaija executives and Usman Solaija's public commercial-real-estate role are meaningful diligence evidence, but FilingDossier does not convert those facts into an unverified ownership or portfolio claim. Rule 506(c), CIK and SEC filing records are not SEC approval or endorsement of the fund.

Important Form D notice: A Form D filing is a notice filing for an exempt securities offering. It does not mean that the U.S. Securities and Exchange Commission has approved, licensed, endorsed, or verified the issuer or the offering. Readers should verify information through official SEC sources and conduct their own due diligence.
