Bamboo Tree Holdings LLC filed its initial Form D on October 6, 2026 as a Delaware pooled investment fund relying on Rule 506(b) and Section 3(c)(1). The filing identifies Morr Capital Management LLC as promoter and manager, uses a Hallandale Beach, Florida business address, and states that the first sale has not yet occurred. What makes this filing unusual is that it does not merely report $0 sold and zero investors: Item 13 also reports $0 as the total offering amount and $0 remaining to be sold, rather than an indefinite amount or a conventional fundraising target. The filing nevertheless states that the securities being offered are pooled-investment-fund interests and that the offering is not expected to last more than one year. This does not make the filing invalid or prove that no future fundraising will occur; an issuer can file before a first sale and later amend its Form D. But at October 6, the public filing provides no measurable economic scope whatsoever. There is no target fund size, minimum capital threshold, portfolio description, first close, investor count or disclosed asset value, while the issuer declined to disclose its aggregate net asset value. Investors therefore cannot determine from EDGAR whether Bamboo Tree Holdings is preparing for a conventional external raise, documenting an internal or affiliated vehicle, holding an existing asset that will later be contributed, or simply establishing a regulatory filing before subscription economics are finalized. A real Form D exists, but the Form D by itself does not yet demonstrate that an investable pool of outside capital exists.
THE MORR CAPITAL NAME REQUIRES CAREFUL IDENTITY MATCHING — AN OLDER REGISTERED FIRM WITH A SIMILAR NAME SHOULD NOT BE AUTOMATICALLY CONNECTED TO THIS FUND
The filing names Morr Capital Management LLC as Bamboo Tree Holdings' promoter and clarifies its role as "Manager," but the latest fund databases reviewed did not identify a matching detailed private-fund Form ADV record for Bamboo Tree Holdings. A separate historical regulatory record does exist for Morr Capital Management, Inc., CRD 135763, an Alpharetta, Georgia investment adviser whose Form ADV was active in earlier years and whose personnel history included Mark Jeffrey Orr. That historical corporation is significant mainly because its nearly identical name creates a risk of mistaken identity. Bamboo Tree Holdings' 2026 filing names Morr Capital Management LLC, at a Florida address, not Morr Capital Management, Inc. in Georgia, and FilingDossier found no primary evidence establishing that the two entities are successors, affiliates, commonly owned or otherwise related. The old CRD number therefore should not be assigned to the new LLC unless corporate or regulatory documents establish continuity. This distinction matters because an investor could search "Morr Capital Management," find an older investment-adviser record and incorrectly conclude that Bamboo Tree Holdings is managed by that registered firm. The current vehicle needs its own verification: legal formation documents for Morr Capital Management LLC, beneficial owners and managers, the exact investment-adviser registration or exemption relied upon, and written confirmation of whether any relationship exists with historical Morr Capital Management, Inc. Until that link is documented, the older firm's regulatory history should be treated as a name match, not proof of the current manager's credentials.
EVEN THE FORM D SIGNATURE LOOKS MORE LIKE ADMINISTRATIVE INFRASTRUCTURE THAN EVIDENCE OF WHO ACTUALLY MAKES INVESTMENT DECISIONS
Bamboo Tree Holdings' Form D was signed by Kirk Carson as Authorized Signatory, but Carson is not identified in Item 3 as an executive, director, promoter or investment manager. That distinction becomes more interesting when other SEC filings are examined: the same name and "Authorized Signatory" title appear on filings for unrelated vehicles including Boldstart Cardinal, Audeo Ventures Plata SPV VI, NV Scout AI Series A AC Partners and other private investment entities. The repeated appearance across unrelated sponsors strongly suggests that the signature function may be administrative or fund-formation related rather than evidence that Carson personally manages Bamboo Tree's portfolio, although the Bamboo filing does not publicly describe his service-provider role. This makes the actual chain of responsibility surprisingly opaque. Morr Capital Management LLC is named as manager, but no individual investment principal is named in the Form D; the authorized signer appears across many unrelated fund structures; no fund-specific ADV record has yet supplied additional personnel information; and no dedicated Bamboo Tree website or investment memorandum was identified publicly. Investors should therefore determine who actually approves investments, who has banking authority, who calculates NAV, who maintains investor capital accounts, who controls withdrawals and distributions, and whether a third-party platform or administrator is handling formation and reporting. Multiple legal names around a fund do not necessarily mean multiple independent checks exist; investors need to know which entity performs each function and which party can actually move fund assets.
FINAL RISK ASSESSMENT — THIS IS CURRENTLY MORE OF A REGULATORY SHELL THAN A PUBLICLY EVALUABLE INVESTMENT PRODUCT
Bamboo Tree Holdings passes the narrowest verification test: it is a real Delaware LLC with a genuine SEC Form D, CIK 0002150034, and Morr Capital Management LLC is explicitly named as promoter and manager. FilingDossier found no evidence in the reviewed sources establishing that this specific issuer is fraudulent. The negative conclusion is instead driven by the extraordinary lack of economic and operational information. The fund reports $0 total offering, $0 sold, $0 remaining, zero investors and no first sale; no underlying asset or investment strategy is disclosed; no current matching Form ADV for Morr Capital Management LLC was independently confirmed; the similarly named historical Morr Capital Management, Inc. cannot safely be treated as the same organization; and the authorized Form D signer appears across multiple unrelated private-fund filings, indicating that signature authority alone reveals little about investment management. Before any investment, an LP should request the PPM and operating agreement, verify the legal ownership and principals of Morr Capital Management LLC, identify its adviser registration or exemption basis, obtain the actual intended fund size and capitalization plan, identify every underlying asset, verify auditor/administrator/custodian or bank controls, and determine why a pooled investment fund was filed with a total offering amount of exactly $0. Our assessment is therefore a genuine regulatory filing but, as of October 6, not enough public evidence to evaluate Bamboo Tree Holdings as an operating investment fund rather than a newly established legal vehicle awaiting its actual economics and strategy.
