ARANA FUND I SEC REVIEW 2026

INDEPENDENT VERDICT

Arana Fund I, LP is a newly disclosed private pooled-investment vehicle whose regulatory record connects to a much more specific operating story than the generic "Fund I" name suggests. Public Form D indexes show that Arana Fund I filed a new Rule 506(b) offering on September 21, 2026 and reported approximately $1,814,810 of securities sold. The filing is associated with Michigan, while the broader Arana investment platform operates from Ann Arbor. That new filing follows an August 19, 2026 Form D from Arana Ventures LLC, CIK 0002142525, which identified an Ann Arbor address at 110 West Liberty Street, Suite 201, a $25,000 minimum investment, 25 investors and Parth Valecha and Umar B. Abdullah as related persons. The close timing, shared Arana branding, geographic overlap and publicly documented Arana team provide meaningful evidence of a connected investment platform, but researchers should still distinguish Arana Fund I, LP from Arana Ventures LLC unless the fund's governing documents expressly establish the GP, adviser or feeder relationship.

The operating website provides the clearest description of what Arana actually does. Arana Ventures describes itself as a blockchain and cryptocurrency investment firm specializing in public coins and tokens with market capitalizations below $50 million. The firm calls its primary strategy the "Liquid VC Digital Asset Fund," describing an approach intended to capture startup-like upside through publicly traded digital assets while retaining the liquidity of public tokens. Its website identifies Parth and Abdullah as the team. Arana's LinkedIn description adds another layer, describing a broader blockchain portfolio that invests primarily in venture-capital and digital-asset funds while also making direct equity and token investments. These descriptions suggest that the manager's opportunity set is wider than a traditional long-only crypto fund: it can include small-cap public tokens, venture-style exposures, other digital-asset funds and potentially direct private investments. What the September Form D does not establish is whether Arana Fund I itself follows exactly the Liquid VC strategy, whether it holds a diversified token portfolio, or whether it acts as a master, feeder or parallel vehicle. That mapping requires the current LPA, PPM and investment-management agreement.

There is also a useful operating history behind the 2026 SEC filings. Public trademark records show that the ARANA VENTURES mark is owned by Jackson Dearborn Partners, LLC at 110 W. Liberty Street, Suite 201, Ann Arbor, with first commercial use reported in August 2022 and services described as hedge-fund investment services. The trademark was registered on the Principal Register in September 2025. Separately, Umar Abdullah stated in a 2023 Uniswap governance discussion that he was managing a family-and-friends blockchain fund called Arana Ventures focused on small-cap assets; his public governance history also links him to Michigan Blockchain and protocol-governance work involving decentralized exchanges, lending protocols, layer-two systems and stablecoins. Later Arana Digital materials describe a governance team formed by former Michigan Blockchain members, while a 2024 Jito delegate profile stated that an adjacent Arana Ventures organization had invested heavily in the Solana ecosystem. These materials do not verify current Arana Fund I holdings, but they provide an unusually coherent chronology: the Arana brand existed before the 2026 Form D filings, the team publicly discussed managing small-cap digital-asset capital, the trademark and Ann Arbor address existed independently, and the investment platform later appeared in federal securities filings.

The largest diligence issue is concentration and valuation rather than basic identity. Arana's public strategy focuses on an asset class where market capitalization, liquidity and exchange depth can change rapidly. Tokens below $50 million in market capitalization can experience large bid-ask spreads, fragmented liquidity, sharp drawdowns, delistings, smart-contract failures, token unlocks and extreme sensitivity to a small number of holders. A portfolio with meaningful Solana or SPL-token exposure may also be affected by network-specific technical, regulatory and ecosystem risks. If Fund I allocates to other venture or digital-asset funds, investors may face additional fee layering and less transparency; if it holds direct tokens, custody, exchange, wallet-security and valuation policies become central. The public website does not disclose the current Fund I portfolio, concentration limits, custody provider, administrator, auditor, leverage policy, exchange counterparties, management fee, incentive allocation, high-water mark or redemption schedule. Those omissions do not mean those controls are absent; they mean Form D and public marketing materials are insufficient to establish them.

Arana Fund I therefore has a relatively strong identity trail for a small and newly filed digital-asset fund, but its investment-risk profile remains unusually dependent on fund-level documents. Investors should verify which legal entity serves as General Partner, whether Arana Ventures LLC, Jackson Dearborn Partners or another affiliate serves as adviser or manager, how the $1.81 million reported offering relates to the August Arana Ventures LLC filing, whether the two filings represent separate pools or connected structures, and exactly which assets Fund I owns. The most important performance questions are net return, maximum drawdown, realized versus unrealized gains, token concentration, liquidity under stress, custody arrangements and the effect of incentive fees. Form D confirms an exempt private offering. It does not verify token values, portfolio liquidity, custody security or future investment performance.

IMPORTANT FORM D NOTICE

Form D is a notice of an exempt securities offering. It is not SEC approval of Arana Fund I, Arana Ventures, Parth Valecha, Umar Abdullah, Jackson Dearborn Partners, any cryptocurrency or any digital-asset trading strategy.

The September 21, 2026 filing provides evidence that Arana Fund I is an active private offering and current public Form D indexes report approximately $1.81 million sold.

It does not disclose current token holdings, NAV, performance, custody arrangements or liquidity under stressed market conditions.

INDEPENDENT ASSESSMENT

Arana Fund I has a more traceable background than its new SEC filing initially implies.

The Arana brand can be followed from 2022 operating and trademark history to public blockchain-governance activity, an active investment website, an August 2026 Arana Ventures LLC Form D and finally the September 2026 Arana Fund I filing.

That evidence materially strengthens verification of the operating platform.

The main remaining issue is legal and portfolio mapping.

Public sources do not yet establish with enough precision whether Arana Fund I, Arana Ventures LLC and the publicly described Liquid VC Digital Asset Fund are the same economic pool, feeder and master entities, parallel vehicles or different products managed by related people.

That distinction matters because the strategy can involve one of the most volatile segments of the digital-asset market.

Investors should verify the legal structure, current holdings, concentration, custody, fees, leverage, redemption terms and audited performance before relying on the Arana brand or the $1.81 million Form D amount.

Form D verifies the offering.

The website verifies the investment platform.

Neither verifies future digital-asset returns.
