TITLE: What Is SEC Form N-2 Closed-End Fund Registration Explained
SEO DESCRIPTION: Learn what SEC Form N-2 is, which closed-end funds use it, what information the filing contains, and how Form N-2 differs from Form N-1A.
WHAT IS SEC FORM N-2
Form N-2 is the SEC registration statement used by closed-end management investment companies.
It is used to register the investment company under the Investment Company Act of 1940 and, when applicable, to register securities being offered under the Securities Act of 1933.
Unlike traditional open-end mutual funds, closed-end funds generally issue a fixed or limited number of shares that may trade in the secondary market or be offered through other structures.
WHAT INFORMATION DOES FORM N-2 CONTAIN
Form N-2 can contain extensive information about the fund, its investment objectives, principal strategies, risks, fees, management, portfolio managers and securities being offered.
The filing may also include information about leverage, borrowing, distributions, conflicts of interest, valuation policies and service providers.
Exhibits can contain advisory agreements, custody agreements, underwriting arrangements, organizational documents and other important contracts. Recent 2026 N-2 amendments continue to include custody, administrative, accounting and other fund-service agreements as exhibits.
WHO USES FORM N-2
Form N-2 is primarily associated with closed-end management investment companies.
This can include traditional exchange-listed closed-end funds as well as certain continuously offered or interval-style funds structured under the closed-end fund framework.
SEC EDGAR continued to receive new Form N-2 registrations and amendments in August and September 2026.
FORM N-2 VS FORM N-1A
Form N-1A is the principal registration form for open-end management investment companies, including many mutual funds and ETFs.
Form N-2 is designed for closed-end management investment companies.
Because the fund structures differ, the disclosures concerning liquidity, leverage, distributions and share transactions can also differ.
WHY FORM N-2 MATTERS
FilingDossier uses Form N-2 as a primary SEC source when researching closed-end funds.
The filing can help verify a fund's strategy, risks, management, fees, leverage and offering structure, but registration should not be interpreted as SEC approval or a guarantee of investment performance.
