SEO DESCRIPTION: Learn what SEC Form F-1 is, which foreign private issuers use it, what companies disclose, and how Form F-1 differs from Form S-1.

WHAT IS SEC FORM F-1

Form F-1 is a Securities Act registration statement used by certain foreign private issuers to register securities with the U.S. Securities and Exchange Commission.

It serves a role similar to Form S-1 for many U.S. domestic issuers, but Form F-1 is designed for eligible foreign private issuers accessing U.S. capital markets.

A company may use Form F-1 in connection with an initial public offering or another registered securities offering when the form is available and appropriate.

WHAT DOES FORM F-1 CONTAIN

Form F-1 generally provides detailed information about the issuer, its business, management, ownership, financial condition, risk factors and the securities being offered.

The registration statement can also include audited financial statements, information about use of proceeds, capitalization, major shareholders, related-party transactions and material agreements.

Exhibits may contain underwriting agreements, organizational documents, legal opinions and other supporting records.

WHAT IS A FOREIGN PRIVATE ISSUER

A foreign private issuer is a non-U.S. company that satisfies the SEC's applicable definition and ownership and business-contact tests.

Foreign incorporation alone does not automatically determine whether a company qualifies. Eligibility can depend on U.S. shareholder ownership as well as where directors, officers, assets and business operations are located.

FORM F-1 VS FORM S-1

Form S-1 is the basic Securities Act registration form commonly used by U.S. domestic issuers.

Form F-1 is designed for certain foreign private issuers.

Both can contain extensive investor disclosure, but foreign private issuers may operate under different SEC reporting and disclosure frameworks.

DOES AN F-1 MEAN AN IPO IS COMPLETE

No.

Submitting Form F-1 does not mean that an IPO or other offering has been completed. The filing may be amended, reviewed, delayed or withdrawn before securities are sold.

SEC EDGAR continued to receive new F-1 registration statements throughout 2026, including filings in August and September.

WHY FORM F-1 MATTERS

FilingDossier uses Form F-1 as a primary source when researching foreign companies seeking access to U.S. public capital markets.

The filing can provide important information about corporate structure, financial results, ownership, risks and offering terms, but filing Form F-1 should not be interpreted as SEC approval or endorsement of the issuer.
