WHAT IS SEC FORM ADV
Form ADV is the primary disclosure and registration form used by investment advisers in the United States. SEC-registered investment advisers, many state-registered advisers and Exempt Reporting Advisers use Form ADV to provide information about their business, ownership, advisory activities and regulatory status.
Unlike Form D, which relates to certain exempt securities offerings, Form ADV focuses on the investment adviser itself.
WHAT INFORMATION DOES FORM ADV CONTAIN
Form ADV can provide important due-diligence information, including the adviser's legal name, business address, ownership structure, regulatory assets under management, client types, advisory activities, private fund relationships and certain disciplinary disclosures involving the adviser or its personnel.
Part 1 contains structured regulatory information. Part 2 generally includes a narrative brochure describing advisory services, fees, conflicts of interest and business practices.
WHY FORM ADV MATTERS
Form ADV can help determine whether the investment manager named on a fund website corresponds with an adviser appearing in official regulatory records. Researchers can compare legal names, addresses, ownership, reported assets and private fund disclosures with marketing claims.
However, the existence of a Form ADV should not be treated as SEC endorsement of an adviser, fund or investment strategy. The SEC states that accepting a Form ADV does not mean it has determined that the filing was completed correctly.
HOW TO SEARCH FORM ADV
The public can review an adviser's most recent Form ADV through the Investment Adviser Public Disclosure, or IAPD, database.
